Location: Remote anywhere in the United States, with Eastern Time availability preferred. Candidates in the Miami-Fort Lauderdale area or within easy traveling distance are especially attractive for occasional in-person collaboration.

Note: Candidates must be an active member of the Bar in at least one U.S. state and have 7+ years of legal counsel experience, including 3+ years of commercial contracting experience. Regulatory and compliance experience and prior in-house counsel experience within a startup, consumer brand, family office, growth company, or similarly entrepreneurial organization are required.

Job Description

• Serve as a trusted legal advisor to executive leadership and cross-functional business teams.
• Lead the drafting, review, and negotiation of commercial agreements, strategic partnerships, vendor agreements, licensing agreements, service agreements, sponsorships, NDAs, and other business contracts.
• Advise on regulatory, compliance, advertising, marketing, consumer protection, and operational matters.
• Support strategic transactions, acquisitions, investments, and other M&A-related initiatives.
• Manage corporate governance, entity documentation, business registrations, filings, board approvals, and legal records.
• Support intellectual property strategy, including trademarks, copyrights, brand protection, renewals, and potential infringement matters.
• Identify legal and operational risks early and develop practical solutions that allow the business to move quickly and responsibly.
• Build contract templates, playbooks, SOPs, policies, workflows, and scalable legal processes.
• Partner closely with finance, operations, marketing, partnerships, product, and executive leadership.
• Manage outside counsel and specialty advisors while helping control legal spend.

Qualifications

• Active Bar license in at least one U.S. state.
• 7+ years of legal counsel experience in a fast-paced business environment.
• 3+ years of commercial contracts experience with the ability to independently negotiate complex agreements.
• Regulatory and compliance experience.
• Prior in-house experience with a startup, growth company, consumer brand, family office, or similarly entrepreneurial organization.
• Strong business judgment with the ability to balance commercial objectives and legal risk.
• Experience independently managing competing priorities in a high-growth environment.
• Strong written, verbal, organizational, and negotiation skills.
• Buy-side M&A experience strongly preferred.
• Fund, investment, portfolio company, or cross-border transaction experience is a plus.
• Consumer products, wellness, health, lifestyle, or other regulated-industry experience is a plus.
