Senior Counsel, Employment

JOB SUMMARY: The Senior Counsel is responsible for providing counsel to management and assisting in planning and directing all aspects of the public organization's legal affairs and ensuring maximum protection of the Company's legal rights. The Senior Counsel is expected to provide deep-level subject matter expertise in the full spectrum of employment law related matters, helping to support a fair, compliant, and productive workplace. The Senior Counsel will operate with significant autonomy and interact with managers throughout the Company and will be in a position to represent the legal department in company-wide initiatives and working groups.

JOB ROLES AND RESPONSIBILITIES:

1. Work with Claritev management to provide legal and business counsel.
2. Assume independent responsibility for complex legal projects and resolve them effectively with a minimum supervision.
3. Serve as the primary legal counsel on employment related matters, including, but not limited to, (i) hiring, performance management, and terminations, (ii) complex leaves of absence, accommodations, wage and hour compliance, and pay equity, and (iii) compensation and benefits, classification issues, workforce planning, and internal investigations.
4. Partner with the Talent and other departments to advise on all employment related issues, including performance management and disciplinary actions.
5. Draft, review, and update, as necessary, employment related policy and procedure documents and templates, including offer letters and separation agreements. Negotiate separation agreements and releases.
6. Manage and oversee outside counsel on employment related litigation and agency charges.
7. Conduct internal investigations into complaints of harassment, discrimination, retaliation, and other workplace misconduct.
8. Monitor and interpret developments in federal, state, and local employment law (e.g., FLSA, FMLA, ADA, state leave and pay transparency laws) and translate changes into practical guidance and updated policies.
9. Support human capital disclosures required in public filings, proxy statements, and periodic reports under SEC regulations. Assist with labor and employment due diligence, integration, and workforce restructuring related to mergers, acquisitions (M&A), or divestitures.
10. Design and deliver manager and employee training on topics such as performance management, accommodations, and leaves of absence.
11. Participate in managing litigation strategy and direction of Claritev relationships with outside counsel.
12. Participate in development and delivery of training programs for internal Claritev departments.
13. Direct, supervise, and train Associate Counsels, Assistant Counsels, paralegals, and administrative staff.
14. Work closely with senior legal staff members, including the Chief Legal Officer, on projects and initiatives.
15. Collaborate, coordinate, and communicate across disciplines and departments, and with external counsel and advisors.
16. Demonstrate commitment to the Company's core values.

JOB SCOPE: This individual assumes responsibility for complex legal projects and works independently under minimal supervision and with considerable discretion to make decisions that affect the day-to-day operations within the Company. The incumbent operates with significant autonomy and applies comprehensive knowledge of principles, practices, and procedures to complete job responsibilities. The incumbent provides significant support to the Chief Legal Officer and other senior legal managers in the operation of the legal department. The incumbent acts as a resource for Associate Counsels, Assistant Counsels, Paralegals, and other Legal Department staff as well as other Company departments. Work requires basing decisions on sound logic and rationale; advancing problems or issues toward resolution when encountering ambiguity or uncertainty; choosing the best alternative based on consideration of pros, cons, tradeoffs, timing and available resources; making timely decisions on problems and issues requiring immediate attention; and making sound decisions on complex functional issues and problems. An incumbent may or may not have direct subordinates but will generally be expected provide work direction to others who do not directly report to this job.

JOB REQUIREMENTS (Education, Experience, and Training) :

• Minimum Juris Doctorate and active bar membership in good standing
• Minimum 5-7 years' experience related to legal practice in employment law, either in a law firm or in-house setting
• Demonstrated ability to independently manage projects and personnel
• Developed broad subject matter expertise in employment law
• Meeting management, analytical, communication, presentation, people management, and problem-solving skills
• Ability to analyze issues and use sound judgment
• Ability to drive execution
• Ability to handle long-term and/or complex legal projects with significant financial or other business impact.
• Ability to manage outside counsel
• Ability to write reports, business correspondence, and policy and procedure manuals
• Ability to effectively present information and respond to questions from groups of managers, clients, or employees
• Ability to define problems, collect data, establish facts, and draw valid conclusions
• Ability to represent the company in a positive and professional manner
• Ability to perform multiple tasks simultaneously and adapt to changing priorities in a positive and professional manner
• Ability to work well both independently and as a member of a team
• Ability to use software, hardware, and peripherals related to job responsibilities
• Individual in this position must be able to work in a standard office environment which requires sitting and viewing monitor(s) for extended periods of time, operating standard office equipment such as, but not limited to, a keyboard, copier and telephone
• The salary range for this position is 155k-180k.. Specific offers take into account education, experience, and skills, as well as the candidate's work location and internal equity. This position is also eligible for health insurance, 401k and bonus opportunity.
