A premier global law firm is seeking an Investment Funds Associate Attorney to join its New York office.

This opportunity is ideal for an attorney interested in representing private equity sponsors, hedge funds, private credit funds, real estate funds, infrastructure funds, institutional investors, and asset managers in sophisticated fund formation and investment management matters.

• 3–6 years of investment funds, investment management, or fund formation experience gained at a sophisticated law firm

• Experience representing private equity funds, hedge funds, private credit funds, real estate funds, infrastructure funds, venture capital funds, family offices, and institutional investors

• Experience handling the formation, structuring, organization, and operation of private investment funds

• Experience drafting and negotiating limited partnership agreements, limited liability company agreements, subscription agreements, side letters, management agreements, carried interest arrangements, and related fund documentation

• Experience advising clients regarding fund governance, securities law compliance, investor negotiations, regulatory matters, and ongoing operational issues

• Experience representing fund sponsors in sponsor-level transactions and strategic fund-related matters is preferred

• Experience with secondary transactions, co-investments, continuation funds, GP-led transactions, and strategic investments is a plus

• Strong drafting, negotiation, analytical, organizational, and communication skills

• Ability to independently manage sophisticated fund matters while maintaining significant client interaction

• Excellent academic credentials

• J.D. from an ABA-accredited law school required

• New York bar admission required or ability to become admitted
