Business Tax Associate Attorney

Location: Charlotte, NC; Richmond, VA; Washington, D.C.; San Francisco, CA; and Los Angeles, CA.

A leading Am Law firm is seeking an experienced Associate Attorney with at least 3 years of law firm tax experience to join its Business Tax practice. This is an opportunity to work with a nationally recognized transactional tax team on sophisticated domestic and cross-border business transactions involving public and private companies, private equity funds, investment banks, family offices, fund sponsors, nonprofit organizations, and other leading market participants.

The Business Tax team advises clients on the tax aspects of complex transactions and business arrangements, including:

• Mergers and acquisitions, including taxable and tax-free transactions

• Private equity transactions and buyouts

• Corporate restructurings and reorganizations

• Joint ventures and partnership/LLC structuring

• Private investment fund formations and sponsor-level planning

• GP stakes and secondary transactions

• Financings and tax credit investments

• Inbound and outbound international investments

• New markets, historic, low-income housing, and energy tax credits

The Associate Attorney will work directly with partners across corporate, partnership, international, fund, nonprofit, and tax credit matters. The role involves close collaboration with the firm’s corporate, private equity, finance, and investment funds practices in a fast-paced, highly transactional environment.

The ideal candidate will have strong technical tax skills, excellent judgment, and the ability to manage multiple transactions simultaneously. Candidates should be comfortable analyzing complex tax issues, drafting and negotiating tax provisions, preparing tax memoranda, and collaborating across practice groups to provide practical, business-oriented advice.

Qualifications

• At least 3 years of experience practicing as a tax Associate Attorney at a law firm

• Experience with the tax aspects of sophisticated business transactions

• Strong technical, analytical, writing, and communication skills

• Excellent academic credentials

• LL.M. in Taxation strongly preferred

• Ability to manage multiple ongoing transactions in a demanding environment

• Interest in leveraging innovative technology platforms to enhance legal research, drafting, and analytical work

• Ability to work collaboratively with attorneys across multiple practice areas

Salary: $260,000 - $425,000
