Job Purpose / Overview

Mars Science & Diagnostics (SDx) is dedicated to building an innovative organization that brings to bear products and services that help pets stay healthy longer and support the people that love and care for them - from pet professionals to pet owners. The SDx division is made up of our global diagnostics business (Antech), Genomics businesses (Wisdom and Antegene), our pharmacy distribution / data and technology services business (Vetsource), and the Waltham Pet Science Institute. The Antech business consists of multiple product / service lines across the diagnostics spectrum.

This senior leadership role seeks a highly experienced and strategic Associate General Counsel to serve as a key legal advisor to the President and the senior leadership team.

Essential Duties and Responsibilities

  • Manage a direct team of 4 legal professionals, including hiring, managing, mentoring, and evaluating performance.
  • Provide legal counsel to senior leadership on all matters affecting the company, including risk assessment and guidance.
  • Manage material litigation and other disputes.
  • Support corporate governance and regulatory and compliance matters.
  • Select, retain, manage, evaluate, and optimize outside legal counsel.
  • Participate in the development, review, and/or implementation of company-wide policies and procedures.
  • Maintain awareness of current legal and regulatory developments and analyze risks, opportunities, and trends.
  • Lead negotiation and drafting of material contracts (acquisition, investment, manufacturing, license, development, purchasing, logistics, consulting, and other agreements).
  • Ensure production of accurate and well-documented research, analysis, and recommendations for legal and regulatory issues.
  • Support management and operations teams with wide-ranging initiatives, including strategic partnership and merger and acquisition activities.
  • Collaborate with various functions and associates to address wide ranging issues supporting business operations.

Education and Experience

  • Juris Doctorate from an accredited law school.
  • Licensed to practice law in California or New York.
  • 10-15 years of proven legal experience in both law firms and in-house settings.
  • Broad knowledge of mergers and acquisitions, commercial transactions, regulatory compliance, litigation, and intellectual property.

Excellent legal and business judgment, strategic thinking, and ability to manage multiple matters. Strong business acumen and practical, solutions-oriented advice. Detail-oriented, organized leader with ethics, integrity and prioritization. Interpersonal skills to develop strong relationships across the company. Ability to influence others. Manage multiple high-priority assignments in a fast-paced dynamic environment. Professional demeanor and ability to work independently and as part of a team. Proficient with Word, Excel, PowerPoint, Outlook and Internet applications.

Travel

Up to 25% of time may be required in various locations.
