The General Counsel’s Office (GCO) supports EY’s business by serving as trusted advisors to the EY community and providing the highest quality legal services to EY’s service lines and business enablement functions. The opportunity As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will provide advice, counsel and legal support in respect of technology products and platforms offered to EY clients, with a focus on client-facing software licenses and software-as-a-service (SaaS) agreements, artificial intelligence, big data, analytics, cloud computing, and internal legal support to EY technology and product teams from ideation, innovation, and go-to-market. You will be part of EY’s Technology and Managed Services legal group, working closely with other GCO groups in the United States and other jurisdictions. The work is complex, often urgent, and high in volume, requiring experience in a supplier-side technology transactional legal role, with a background in SaaS and current market knowledge of technologies. You will need to manage multiple priorities and engage with senior leadership as needed. Your Key Responsibilities Draft and negotiate client-facing product and platform agreements, advising on contractual strategy and risk, and staying up to date with relevant legal developments Collaborate with US GCO members and local counsel in other EY member firms Collaborate with intellectual property and procurement counsel on development and commercialization of products and platforms Support coordination with cross-functional business and internal support teams (Data Privacy, Information Security, Independence, Quality and Tax) as necessary Understand EY policies and help enhance policies and guidance relevant to technology products and platforms Support and advise internal product teams in the development of new products and platforms Develop understanding of the tools, products and platforms supported to provide effective product counsel Manage workflow in a dynamic environment and remain responsive, reliable, and accountable to team leadership and other GCO members Provide practical legal advice in cross-functional settings to internal product teams and business stakeholders Build relationships and collaborate with GCO members to deliver exceptional legal service Develop and deliver training on product and platform agreements and best practices Continually learn, contribute and innovate in a dynamic space Qualifications 7+ years of relevant technology-related transactional experience in a client-facing capacity, including drafting and negotiation of product and platform agreements Strong background in supporting SaaS, software licenses, emerging technologies and go-to-market delivery models Experience developing contracting templates, playbooks and standards Adept at leveraging legal and collaboration tools to optimize teaming Experience in data privacy, data security, licensing, and intellectual property law Experience with cross-border contracting (including local country agreements and cross-border data transfer) Ability to understand, assess and negotiate terms for current and new technologies (including cloud and AI) and explain risks practically Excellent communication skills, both oral and written Excellent negotiation and interpersonal skills High cultural and emotional intelligence, resilience, flexibility, and adaptability Ability to work independently and with colleagues in other functions and locations Ability to document complex legal and contractual principles and balance legal and commercial risk Ability to manage high workload volumes and competing priorities Solution-oriented with focus on client service Experience in a product counsel role in technology or consulting, with leadership in negotiations Bachelor’s degree from an accredited 4-year college Juris Doctor from an accredited law school Active membership in a State Bar and in good standing, including CLE requirements What We Look For We’re looking for agile individuals with critical thinking skills, strong business acumen and deep knowledge of the law.
