Senior Paralegal

Senior Paralegal (AM Law 100) - New York, NY 3 days onsite per week Role: You will play a critical role in supporting attorneys with corporate legal matters, managing complex transactions, and ensuring compliance with regulations. Responsibilities: Assist attorneys in drafting, reviewing, and finalizing corporate documents, including bylaws, operating agreements, shareholder agreements, and board resolutions. Prepare and file incorporation documents, annual reports, and other filings with state and federal agencies (e.g., Secretary of State, SEC). Manage due diligence processes for mergers, acquisitions, and other corporate transactions, including organizing data rooms and reviewing contracts. Maintain and update corporate minute books, entity records, and capitalization tables for clients. Conduct legal research on corporate governance, securities regulations, and compliance issues, summarizing findings for attorneys. Qualifications: Bachelor’s degree or paralegal certificate from an accredited program preferred. 4+ years of experience as a paralegal, with a focus on corporate law, preferably in a law firm setting. In-depth knowledge of corporate governance, entity formation, and transactional processes. Proficiency with legal research tools (e.g., Westlaw, LexisNexis) and document management systems. Strong understanding of state and federal filing requirements (e.g., UCC filings, SEC regulations).
