Investment Funds Attorney

We are working with a growing Boutique law firm, looking to bring on an Investment Funds Attorney to join their team. Specifically, they are looking for someone with 2+ years of investment fund experience. Requirements: 2+ years of investment management, investment fund, fund formation, or other related transactional experience JD from an ABA-accredited law school and license to practice law Strong academic credentials and excellent analytical and writing skills A client service approach and exceptional communication skills Responsibilities: Assist in the formation, structuring, and organization of private investment funds, including venture capital, private equity, hedge funds, and real estate funds. Advise clients on ongoing regulatory compliance matters under the Investment Advisers Act, the Investment Company Act, and other relevant federal and state securities laws. Draft, review, and negotiate fund structural documents, private placement memorandums (PPMs), limited partnership agreements (LPAs), subscription materials, and side letters. Serve as a trusted advisor to fund managers and institutional investors, providing practical legal solutions tailored to their business objectives. The annual salary for this position is between 200k-300k. Factors which may affect pay within this range may include geography/market, skills, education, experience and other qualifications of the successful candidate.
