Job Purpose

The Contracts Manager will report to the General Counsel and manage the full contract lifecycle, from intake, review, and negotiation through execution, renewals, and ongoing obligation tracking, across procurement, sales, finance, and other commercial agreements. The role will support agreements across various industries including consumer electronics, medical, and defense, ensuring contractual alignment with business objectives and mitigating legal and commercial risk.

Key Responsibilities

• Draft, review, analyze, and negotiate a variety of commercial agreements, including NDAs, MSAs, SOWs, supply and joint development agreements, order forms, SaaS and subscription agreements, amendments, leases, and other procurement, sales, and finance agreements.
• Partner with Sales, Procurement, Finance, IT, and other cross-functional teams to understand business requirements, provide contractual guidance, and identify and escalate material legal or commercial risks.
• Independently negotiate agreements exercising sound judgment regarding when to escalate non-standard, material, or higher-risk issues to the General Counsel.
• Own and continuously improve the contract lifecycle management (CLM) process, including intake, workflows, templates, playbooks, approvals, execution, tracking, renewals, reporting, and contract visibility.
• Maintain accurate contract records and track key obligations, renewal dates, expiration dates, and other ongoing contractual commitments.
• Complete customer and vendor onboarding, security, and procurement questionnaires, coordinating with internal stakeholders to provide accurate and timely responses.

Qualifications

• 4+ years of experience drafting, reviewing, analyzing, and negotiating commercial contracts, preferably in an in-house legal, contracts management, or corporate paralegal environment.
• Strong understanding of commercial contract provisions, including indemnification, warranties, limitation of liability, confidentiality, termination, intellectual property, and revenue recognition.
• Experience working with a contract lifecycle management (CLM) platform, such as Evisort.
• Strong judgment and ability to independently manage negotiations while recognizing when issues require escalation or additional legal review.
• Proficiency in Microsoft Office Suite and Adobe Acrobat and/or e-signature platforms.
• Strong communication, organization, and attention to detail.

Preferred Qualifications

• Bachelor's degree, paralegal certificate, professional certification, or relevant continuing education.
• Experience working in a startup or high-growth company.
• Experience supporting commercial agreements across consumer electronics, medical, and defense industries.
• Familiarity with FAR, DFARS, subcontracting requirements, and ITAR/export compliance.

The annual base salary range for this position is $84,872 to $116,700.
