Job Summary The Emerging Companies/Venture Capital (EC/VC) team within the Strategic Transactions practice group is seeking a lateral associate with a minimum of three years up to a maximum of six years of substantial legal experience in emerging company and venture capital transactions to join either our Boston or New York office. Key Responsibilities Attorneys in the EC/VC group advise early‑stage companies through IPO or M&A exit, as well as advise venture capital funds and other institutional investors on various rounds of investment and a variety of other topics related to ongoing relationships between investors and portfolio companies. Attorneys will assist emerging company clients with: Founders’ arrangements. Evaluating and structuring of initial investments from angel, seed and venture investors. Additional financing venture, crossover and late‑stage equity financing rounds. Strategic early‑stage securities law compliance and corporate governance advice. Supplier, distributor, co‑promotion and other strategic relationships. Mergers, acquisitions and asset sales. Initial and follow‑on public offerings. Attorneys will assist investor clients with: Investment structuring across a range of rounds and investment types (preferred stock, SAFEs, convertible notes, warrants, etc.). Due diligence with respect to target companies. Advising on continuing relationships with portfolio companies. Determining strategies for investment exit. Qualifications Hold a J.D. degree from an accredited law school or equivalent. Be admitted to practice law in the relevant jurisdiction in which you are applying. Possess 3 to 6 years of capable experience in capital markets or securities law. Demonstrate legal experience representing early‑stage companies and investors in such companies. Show proficiency in drafting and negotiating transaction documents. Manage multiple projects simultaneously and work effectively in a fast‑paced, team‑oriented environment. Exhibit strong research, analytical, and problem‑solving skills. Display attention to detail and organization skills.
