Senior Paralegal

This role supports a highly sophisticated, multi-office national law firm known for its collaborative, client-focused, and entrepreneurial environment. The Senior Corporate Paralegal provides advanced assistance on complex corporate and transactional matters, including M&A, private equity, venture capital, and finance-related work. The position involves managing closing processes, maintaining corporate records, and coordinating filings and deliverables across multiple jurisdictions. It requires close collaboration with attorneys, clients, and third parties while handling high-volume, detail-oriented work in a fast-paced setting. The ideal candidate operates independently, exercises strong judgment, and serves as a key contributor to transaction teams. Responsibilities Manage and oversee corporate governance tasks, including entity formations, compliance filings, and maintenance of corporate records and capitalization tables. Coordinate and execute closing processes for complex transactions, including preparing checklists, managing deliverables, and compiling closing binders. Conduct due diligence by reviewing and organizing corporate, financial, and contractual documents. Prepare and file UCC financing statements and perform lien, tax, and judgment searches, analyzing results for priority and compliance issues. Support securities and financing activities, including equity tracking, private placements, and regulatory filings. Assist with real estate transactions and bankruptcy-related lien reviews, including document preparation, execution coordination, and analysis. Requirements Minimum of 5+ years of corporate paralegal experience within a law firm environment. Strong knowledge of corporate governance, UCC filings, transactional workflows, and compliance requirements. Proven ability to manage multiple complex transactions and deadlines simultaneously. Proficiency with legal technology, document management systems, and equity management platforms (e.g., Carta, Shareworks). Excellent analytical, organizational, and communication skills, with the ability to work independently and collaborate across teams.
