Corporate - Capital Markets

Job Summary:

Capital Markets Associates support clients in a variety of securities transactions and financing activities. This position guides clients through public and private offerings, assists with regulatory compliance, and ensures accurate disclosure and documentation in corporate governance matters. This position requires associates to possess strong analytical and interpersonal skills, the ability to build and maintain effective client relationships, and the ability to manage multiple projects in a fast-paced environment.

Duties/Responsibilities:

Associates are expected to:

• Advise clients on securities offerings, including equity and debt issuances.
• Draft, review, and revise offering documents, prospectuses, and registration statements.
• Draft and review SEC filings, corporate governance materials, and proxy statements for annual and special meetings.
• Conduct due diligence and identify potential legal risks.
• Research complex questions arising under the 1940 Act, the Advisers Act, the Exchange Act, and the rules and releases of the SEC, FINRA, the NYSE, and Nasdaq.
• Ensure compliance with securities laws and regulations.
• Collaborate with deal teams throughout all stages of initial public offerings, leveraged financing transactions, and acquisition financings.
• Work with opposing counsels, intermediaries, and regulators to ensure timely completion of operative documents and relevant filings.
• Support clients in ongoing reporting and disclosure obligations.
• Negotiate and prepare transaction agreements and ancillary documents.
• Research and analyze legal issues related to capital markets transactions.
• Monitor market trends and regulatory developments.
• Continuously maintain knowledge of legal developments within the industry, including completion of continuing legal education.
• Communicate with clients, colleagues, and external parties.
• Manage transaction timelines and deliverables efficiently.
• Use AI technologies responsibly and ethically to support legal work.

Required Skills/Abilities:

Qualifying candidates must:

• Hold a J.D. degree from an accredited law school or equivalent.
• Be admitted to practice law in the relevant jurisdiction in which they are applying.
• Possess 3 to 5 years of capable experience in capital markets or securities law.
• Demonstrate legal experience representing corporate issuers and major investment banks in all aspects of equity capital markets financings.
• Be experienced in advising clients on compliance and corporate governance issues and strategic mergers and acquisitions transactions.
• Show proficiency in drafting and negotiating transaction documents.
• Exhibit strong research, analytical, and problem-solving skills.
• Demonstrate strong knowledge of securities laws, regulations, and market practices.
• Display attention to detail and organizational skills.
• Manage multiple projects and deadlines efficiently.
• Be proficient using AI technologies responsibly and ethically in legal practice.
