Chief Financial Officer

ONAR is an AI-powered marketing platform. We own and operate a group of specialist marketing agencies serving middle-market and growth-stage brands across performance marketing, creative, and commerce. Our technology division, ONAR Labs, develops and houses the company's proprietary technology, including our human agentic operating system, Retina AI, and Cortex, built to make our teams more productive and to turn project-based work into recurring revenue. We've grown through disciplined acquisitions, including JUICE and Scale Partner, and acquisitions remain central to the plan.

About the Role

We're a public company pursuing an acquisition-driven growth strategy and preparing to move from the OTC markets to NASDAQ. We are seeking a CFO who wants to be a central partner to the CEO in executing that strategy. This is a hands-on leadership role. We run lean by design, so the CFO will personally own critical work while building the finance organization, systems, controls, and processes required for a growing public company. The CFO will have direct involvement in SEC reporting, the NASDAQ uplisting, M&A, capital markets, treasury, operating finance, and Board and investor communications. We also use AI extensively across the company and expect our CFO to use technology and AI to make finance more efficient, accurate, and scalable.

Responsibilities

• SEC reporting: The close calendar, 10-Ks, 10-Qs, 8-Ks, and proxy materials, plus the technical accounting behind them, including business combinations, goodwill, convertible instruments, and equity. You'll run the relationship with our PCAOB audit firm and support the Audit Committee. Filings go out accurate and on time.
• The NASDAQ uplisting: Lead finance-related readiness for the transition from OTC to NASDAQ including listing standards, registration statements, corporate actions, and the equity, float, governance, and controls readiness underneath them, working alongside our counsel and bankers.
• M&A: Acquisitions are a core part of our growth strategy. The CFO will build and own acquisition models, evaluate targets and pressure-test seller financials, lead financial diligence and earnings-quality analysis, partner with the CEO on valuation and transaction structure, evaluate financing alternatives, own purchase accounting and opening balance sheets, establish reporting and KPI discipline following acquisitions.
• Capital and treasury: Manage lender, investor and capital-markets relationships. Oversee convertible notes, preferred stock, warrants and other financing instruments. Maintain accurate cap tables. Monitor covenant compliance, develop cash forecasting, and working capital across the agency group. Support debt and equity raises and advise the CEO and Board on financing and capital allocation.
• Operating finance: The annual budget, agency-level P&Ls and KPIs, pricing support for agency leaders, and monthly reporting and financial support for operating leaders that are meaningful.
• The finance function itself: Build the infrastructure required for a growing public company, including controls, systems, SOX readiness, and in time a small team you'll hire and develop. Until then, most of the work is yours.
• Board and investor materials: Clear and timely financial narratives tied to the underlying numbers for board packages, investor updates, and capital raises materials.

Qualifications

• Senior finance leadership at a public company, as CFO, VP of Finance, Chief Accounting Officer, or Controller, with hands-on SEC reporting experience. You've owned filings, not just reviewed them.
• Deep technical accounting, CPA strongly preferred. Comfort with business combinations, goodwill, convertible and preferred instruments, and stock-based compensation, because our balance sheet includes all of it.
• Deal experience across the acquisition lifestyle - from diligence and structuring to purchase accounting and integration. Agency, services, or acquisition-driven company backgrounds are a plus.
• Capital markets fluency. You've raised and managed debt and equity, worked with institutional lenders and investors, and kept a complicated cap table straight. You understand how financing decisions affect dilution liquidity and shareholder value.
• An uplisting, IPO, or S-1 somewhere in your history is a real advantage.
• Modern tooling. You've implemented or upgraded finance systems, and you already use AI in your daily work.
• An owner's mentality. Direct, low ego, calm under filing deadlines, and unwilling to let a wrong number leave the building.

Pay range and compensation package

Compensation includes a competitive base salary and a meaningful equity stake. We'll get specific early in the process. The equity is intended to align the CFO with long-term value creation. If ONAR successfully executes its uplisting strategy, continues to acquire and integrate businesses, and grows the platform as intended, the person in this seat should share meaningfully in that outcome.
