Corporate Associate Attorney

We are partnered with a premier mid-size full-service AM 200 firm, who are seeking to strengthen its Corporate practice by adding a mid-level Corporate Associate in Boston. This is an excellent opportunity to work on lean deal teams providing strong exposure to a broad range of sophisticated transactional matters, with clear and structured career progression. Key Requirements: J.D. and admission in good standing in the jurisdiction where you plan to practice 2-8 years of corporate transactional experience, with a strong focus on mergers & acquisitions Demonstrated experience handling both buy-side and sell-side M&A transactions Experience across a variety of corporate matters, including private equity, venture financings, joint ventures, and capital markets Strong drafting and negotiation skills, including experience with key transaction documents (e.g., asset purchase agreements, stock purchase agreements, merger agreements, operating agreements, disclosure schedules) Proven ability to manage complex transactions with attention to detail and efficiency Excellent writing, research, communication, and client service skills Ability to work both independently and collaboratively within a team-oriented environment Key Responsibilities: Manage all phases of the deal lifecycle, from term sheet through closing Lead and support M&A transactions, including due diligence, structuring, negotiation, and execution Draft, review, and negotiate a wide range of corporate transaction documents Advise clients on corporate governance and general corporate matters Collaborate closely with partners and clients on sophisticated transactional matters Coordinate with cross-functional teams to ensure seamless deal execution Contribute to a collaborative and high-performing team environment This position offers an exciting opportunity to work on complex and high-value transactions within a supportive and collegial team.
