Direct Counsel is representing a prestigious AmLaw firm seeking a midlevel Corporate Associate (3–5 years) to join its highly regarded Capital Markets & Public Companies practice.

This is an excellent opportunity for an attorney looking to work on sophisticated capital markets and securities matters within a collaborative and nationally recognized corporate practice.

Multiple Locations:

Boston, Los Angeles, New York, Orange County, Philadelphia, Pittsburgh, San Francisco, Silicon Valley, Washington, D.C., Princeton

Responsibilities

• Advise publicly traded companies on:
  • Federal securities law compliance
  • SEC reporting and disclosure obligations
  • Stock exchange listings and ongoing compliance
  • Corporate governance matters
• Represent issuers in:
  • Public and private securities offerings
  • Equity and debt capital markets transactions
• Work closely with clients on strategic corporate and transactional matters across a variety of industries

Qualifications

• 3–5 years of large law firm corporate experience
• Strong background in:
  • Capital markets transactions
  • Public company representation
  • Securities law compliance and governance matters
• Experience with both equity and debt offerings preferred
• Excellent academic credentials, analytical skills, and communication abilities
• Active bar admission in the jurisdiction of the office of interest

Compensation

For positions in California, Massachusetts, New York, and Washington, D.C., the expected salary range is $225,000 – $435,000 , depending on experience, expertise, market conditions, and overall qualifications.
