Associate, Capital Markets

Work on high-value capital markets transactions advising issuers, investors, and financial institutions across a range of securities offerings. This position offers hands-on experience in complex, cross-border deals while supporting public company clients on regulatory and market-facing matters. Description Advise clients on corporate capital markets transactions, including securities offerings and regulatory compliance. Draft and review legal documents such as prospectuses, offering memoranda, and other transaction-related agreements. Collaborate with internal and external stakeholders to ensure seamless execution of transactions. Provide guidance on SEC filings, including annual reports and registration statements. Research and analyze legal issues related to corporate governance and securities regulations. Support due diligence efforts and risk assessments for clients in capital markets activities. Stay updated on changes in laws and regulations impacting the capital markets sector. Mentor junior team members and contribute to knowledge-sharing within the department. Profile A successful candidate should have: A Juris Doctor (JD) degree from an accredited law school. Bar admission in good standing in California or eligibility to waive into the jurisdiction. Strong knowledge of corporate law, securities regulations, and capital markets transactions. Excellent drafting, negotiation, and communication skills. The ability to manage multiple projects and meet deadlines in a fast-paced environment. A proactive approach to problem-solving and client service.
