Group Legal, Compliance & Secretariat (LCS) ensures that the bank's interests are protected by zealously guarding and enhancing its reputation and capital. Responsibilities- Provide corporate secretarial support to DBS group entities in Hong Kong.
- Ensure compliance with applicable legal and regulatory requirements, including the Companies Ordinance, Banking Ordinance, Securities and Futures Ordinance, Business Registration Ordinance, and relevant regulations and guidelines issued by the Hong Kong Monetary Authority ("HKMA"), the Securities and Futures Commission ("SFC"), and other regulatory authorities.
- Support Directors in fulfilling their statutory duties, complying with disclosure obligations and corporate governance requirements as well as devising effective board processes.
- Facilitate the Board of Directors’ decision making and implementation of corporate strategies.
- Maintenance of statutory records and safekeeping of other corporate documents.
- Minimum 8 years’ of solid corporate secretarial experience with large corporations in Hong Kong, relevant experience with financial institutions would be an advantage.
- Good knowledge of legal and regulatory requirements applicable to DBS HK group entities.
- Good language skill, proficiency in English and Chinese required
- Good communications and interpersonal skill
- Dedication and commitment to the job
- Meticulous
- Good knowledge of relevant statutory and regulatory requirements as well as standard company secretarial practices
- Associate/Fellow member of the Hong Kong Chartered Governance Institute/ legal practitioner is preferrable
