Corporate Securities Associate

A law firm seeks a highly motivated Corporate Securities Associate in New York City, NY. The ideal candidate will have a solid background in securities matters and/or lending work, with 2 years of experience in a law firm setting. This role offers the opportunity to engage in a diverse and broad-based corporate practice. Duties Provide expert legal advice on mergers and acquisitions, private securities offerings, and corporate governance. Draft and negotiate complex transactional documents, including purchase and shareholder agreements. Conduct due diligence investigations and prepare comprehensive reports. Manage and oversee junior associates and paralegals on transactions. Collaborate with cross-functional teams for seamless deal execution. Stay updated on legal developments and industry trends. Represent clients in negotiations and dispute resolution processes. Public securities and stock exchange compliance, including 34 Act and 33 Act, is a plus. Requirements Juris Doctor (J.D.) degree from an accredited law school. 2 years of experience in capital market. Strong knowledge of corporate law and securities regulations. Excellent drafting and negotiation skills. Proven ability to manage multiple complex projects. Exceptional analytical and problem-solving abilities. Excellent interpersonal and communication skills. Ability to work independently and collaboratively. Bar admission required in the attorney's resident or affiliated office. Education Juris Doctor (J.D.) degree from an accredited law school. Certifications Bar admission in the attorney's resident or affiliated office. Skills Strong knowledge of corporate law and securities regulations. Excellent drafting and negotiation skills.
