Private Funds Associate Attorney
Direct Counsel is seeking a Private Funds Associate Attorney with 3–6 years of experience to join a leading global law firm and its highly regarded Asset Management practice.
LocationsSan Francisco, CA
Position OverviewThe ideal candidate will have substantial experience advising clients on the formation, structuring, and operation of private investment funds . This role offers the opportunity to work with sophisticated fund managers and investors on fund formation, regulatory compliance, fund restructurings, secondary transactions, and ongoing fund matters.
Responsibilities- Advise clients on the formation and structuring of private investment funds.
- Draft and negotiate fund documents, including limited partnership agreements, subscription agreements, private placement memoranda, and side letters .
- Advise fund managers and investors on securities laws and other regulatory requirements.
- Provide ongoing legal counsel throughout the life of private investment funds.
- Conduct due diligence and review investment-related documentation.
- Assist with fund marketing and investor relations matters.
- Advise clients on secondary transactions and fund restructurings.
- Monitor developments in laws and regulations affecting private funds.
- Collaborate with attorneys and professionals across the firm to provide comprehensive client service.
- Manage multiple time-sensitive matters independently while supporting and mentoring junior associates.
- 3–6 years of private investment funds experience , preferably at a national or global law firm.
- Strong knowledge of securities laws and regulations applicable to private funds.
- Experience with the formation and structuring of private investment funds.
- Strong drafting and negotiation skills involving fund documentation.
- Excellent analytical, organizational, and problem-solving abilities.
- Strong communication and interpersonal skills.
- Ability to manage multiple matters independently and work effectively as part of a team.
- J.D. from an accredited law school.
- Admission to the bar in the relevant jurisdiction required.
The anticipated salary range is $260,000–$390,000 annually , depending on qualifications, experience, and other relevant factors. This position is also eligible for a discretionary bonus.
