Compliance & Governane Manager

We are seeking an experienced Compliance Manager to oversee corporate governance, contract compliance, and board administration for our client. About the Role Monitor regulatory requirements and ensure entities remain compliant and in good standing. Manage corporate registrations, records, filings, and statutory requirements. Oversee the administration and lifecycle of internal, third-party, and client agreements. Draft and review corporate governance documentation, including resolutions, minutes, and corporate actions. Provide support to senior management on governance and compliance matters. Serve as Board Secretary as required and oversee board materials, minutes, resolutions, and follow-up actions. Maintain and enhance compliance policies, procedures, controls, and reporting. Support third-party/vendor risk assessments and contractual compliance. Qualifications Bachelor’s degree required; legal, business, or related background preferred. 8+ years of experience in compliance, legal, corporate governance, or a related field. Strong knowledge of corporate governance, regulatory compliance, and risk management. Experience supporting Boards of Directors and working with corporate governance documents. Experience with entity registration and maintenance in Delaware, Florida, and the Bahamas required. Wealth management, or financial services experience preferred.
