About the Role
The Company is in search of a Vice President, Associate General Counsel - Corporate to join its global legal team. The successful candidate will be at the forefront of the company's legal strategy, with a focus on SEC compliance, corporate governance, and equity and executive compensation. This role is pivotal in overseeing the company's SEC compliance program, leading corporate governance efforts, and providing strategic legal support for equity programs and corporate transactions. The ideal candidate will have a J.D. from an accredited law school, active admission to at least one U.S. state bar, and a minimum of 10 years of legal experience, with a background that includes both a major law firm and in-house public company practice, preferably in the technology or SaaS sector. Key responsibilities for the Vice President, Associate General Counsel - Corporate include leading the company's 1933 Act and 1934 Act filings, partnering with various teams to meet reporting and disclosure requirements, and serving as the legal lead for all corporate governance matters. The role also involves advising on the design and implementation of equity plans, partnering with the People team on executive compensation disclosures, and providing legal training on governance and securities law compliance. The ideal candidate will have deep expertise in corporate governance, U.S. securities laws, and equity compensation structures, as well as proven experience working directly with or advising public company boards of directors. Strong communication, relationship-building skills, and a background in the travel or business tech industry are a plus.
