ABOUT THE ROLE

Our Client is seeking an experienced Lead Corporate Governance Paralegal to serve as a key member of the Corporate Law Department. This position is ideal for a highly organized, detail-oriented governance professional who thrives in an environment requiring ownership, accountability, and independent execution. The successful candidate will oversee corporate governance activities, legal entity management, subsidiary compliance, and corporate recordkeeping for a complex domestic and international entity structure. This individual will play a critical role in ensuring legal entities remain compliant, governance documentation remains accurate and current, and reporting obligations are fulfilled on time. This is a highly autonomous position requiring a professional who can independently manage recurring governance cycles, maintain robust tracking systems, and proactively drive responsibilities to completion with minimal supervision. Responsibilities Manage corporate governance and corporate secretarial activities in accordance with statutory and regulatory requirements Serve as a primary resource for corporate governance, legal entity management, and subsidiary compliance matters Prepare and maintain board meeting materials, board minutes, written consents, shareholder consents, and related governance documentation for the holding company and subsidiaries Independently prepare resolutions, approvals, and governance documentation supporting subsidiary activities Prepare and file entity formations, mergers, dissolutions, acquisitions, registrations, qualifications, withdrawals, terminations, annual reports, assumed names, agent changes, and registered and principal address changes Handle compliance filings and governance requirements across multiple jurisdictions Maintain corporate records, organizational charts, governance databases, and minute books for all company entities Ensure all legal entities remain in good standing and that governance records are accurate, complete, and current Respond to requests for corporate documents and governance-related information from internal stakeholders Support quarterly and annual reporting requirements for the parent organization, including legal review of subsidiary information Collaborate with international corporate secretarial teams regarding governance matters affecting foreign subsidiaries Provide periodic reporting related to directors and officers across company entities Manage relationships with registered agent service providers supporting company subsidiaries Maintain entity management systems and governance databases containing information related to subsidiaries, officers, directors, and share ownership Develop and maintain detailed tracking systems, governance calendars, and reporting schedules to ensure timely completion of recurring obligations Identify opportunities to improve governance processes, documentation practices, and operational efficiencies Communicate activities, progress, and observations with management and key stakeholders Meet commitments and deadlines while maintaining exceptional attention to detail and accuracy Comply with all corporate policies, procedures, and internal controls Report any control deficiencies or compliance concerns to management Work independently while demonstrating strong ownership, accountability, and initiative Required Qualifications Bachelor's degree in a related field or equivalent combination of education and experience Paralegal degree, associate's degree, certification, or equivalent paralegal qualification combined with relevant professional experience Minimum of 6 years of corporate governance, legal entity management, corporate records management, or corporate paralegal experience Experience supporting large corporate organizations, complex entity structures, or major law firms Experience preparing and filing Secretary of State filings, annual reports, qualifications, registrations, dissolutions, and related compliance documentation Experience supporting mergers, acquisitions, restructurings, or other corporate transactions Advanced knowledge of corporate governance principles, procedures, and best practices Experience maintaining minute books, corporate records, and governance documentation Experience using entity management platforms such as hCue, Entity Pro, or similar governance systems Advanced proficiency with Microsoft Office applications including Excel and PowerPoint Demonstrated ability to manage large volumes of information with exceptional accuracy and organization Ability to independently manage recurring annual governance and compliance cycles Strong written and verbal communication skills Ability to prioritize multiple deadlines and deliver high-quality work with minimal supervision Demonstrated ownership mindset and accountability for outcomes Preferred Qualifications Significant BigLaw experience Experience supporting domestic and international subsidiaries within a complex corporate environment Experience within the insurance industry or other highly regulated industries Experience improving governance processes, compliance workflows, and operational efficiencies Experience partnering with executive leadership, directors, and board members Ideal Candidate Profile Self-starter who requires minimal training and quickly assumes ownership of responsibilities Highly organized professional who enjoys creating structure, tracking obligations, and ensuring deadlines are consistently met Detail-oriented individual with a strong commitment to accuracy, compliance, and quality Comfortable managing repetitive annual governance processes while maintaining consistency and precision Proactive problem solver who identifies opportunities for improvement and follows through on implementation Professional who thrives in an environment requiring accountability, independence, and sound judgment #J-18808-Ljbffr Search Services
