Job Details
Job Duties
Handle business entity formations and ongoing corporate governance matters
Draft, review, and negotiate purchase and sale agreements
Prepare and negotiate commercial agreements, operating agreements, and client contracts
Advise clients on transactional risk, contract strategy, and general business matters
Assist with mergers, acquisitions, and other corporate transactions as needed
Manage matters from intake through execution while maintaining strong client communication
Collaborate with attorneys and support staff on sophisticated business transactions
Job Requirements
J.D. from an accredited law school and active California Bar membership
3-5+ years of transactional, corporate, or business law experience preferred
Experience handling corporate formations, commercial contracts, and transactional agreements
Strong drafting, negotiation, and analytical skills
Ability to independently manage multiple matters in a fast-paced environment
Client-focused mindset with strong communication and organizational abilities
Experience with Clio, Microsoft Office, Google Workspace, or similar legal technology platforms preferred
