Senior Corporate Counsel
Statusphere is seeking a Senior Corporate Counsel to serve as the company's senior day-to-day legal advisor and lead its commercial contracting function.
This attorney will independently manage sophisticated commercial transactions, exercise judgment regarding legal and business risk, and provide clear, commercially grounded recommendations to the COO/CFO and other senior leaders. The role requires an experienced transactional attorney who can assess risk in the context of Statusphere's contracts, customer relationships, products, revenue model, operating processes, and strategic objectives.
The Senior Corporate Counsel will work closely with the COO/CFO, Sales, Finance, Operations, Product, Security, and Customer Success to move transactions efficiently from commercial alignment through execution. This person must be able to distinguish acceptable commercial risk from material legal exposure, resolve most matters independently within established authority, and recommend a specific path forward rather than merely identifying issues or restating contract language.
The role will manage a meaningful monthly volume of client, agency, vendor, and corporate agreements, including enterprise SaaS and usage-based services agreements, MSAs, SOWs, order forms, NDAs, amendments, technology and vendor agreements, consulting agreements, data-processing agreements, and related documents.
The Senior Corporate Counsel will also provide practical guidance on privacy, data use, intellectual property, creator relationships, content and usage rights, website terms, payments, compliance, and other operational legal matters.
Specialized, novel, jurisdiction-specific, or high-risk matters—including significant corporate, employment, litigation, intellectual-property, privacy, regulatory, financing, or M&A matters—will continue to be handled in partnership with outside counsel. The Senior Corporate Counsel will help identify, frame, coordinate, and manage those matters rather than being expected to serve as the sole subject-matter expert in every legal discipline.
This is a highly visible role with the opportunity to build Statusphere's in-house legal function and potentially advance into an Associate General Counsel position as the company grows in 2027 and beyond, including through new products, strategic partnerships, acquisitions, or additional lines of business.
The role reports to the COO/CFO.
What You'll Do
Lead Commercial Contracting
- Draft, review, redline, negotiate, and close sophisticated client, agency, vendor, and strategic-partner agreements.
- Independently manage MSAs, SOWs, order forms, SaaS and usage-based services agreements, NDAs, amendments, data-processing agreements, consulting agreements, and customized commercial contracts.
- Understand and negotiate Statusphere's integrated commercial model, in which SaaS access, platform credits, usage-based services, creator incentives, processing fees, and related services may be documented within a single agreement and applicable order forms.
- Assume ownership of legal terms after commercial terms are established and move agreements efficiently from initial review through execution.
- Negotiate directly with client legal, procurement, privacy, security, finance, and business teams.
- Provide business stakeholders with concise status updates, clearly framed risks, and the specific decisions required to close.
Exercise Independent Legal and Risk Judgment
- Evaluate legal and commercial risk in the context of Statusphere's business model, contract value, customer relationship, transaction structure, operational capabilities, and strategic importance.
- Determine whether proposed terms are acceptable, require mitigation, should be rejected, or require executive or outside-counsel escalation.
- Advise on liability caps, indemnification, warranties, intellectual property, content and data rights, confidentiality, privacy, security, insurance, payment terms, termination rights, dispute provisions, and regulatory obligations.
- Identify material contractual commitments and confirm that they are operationally achievable before execution.
- Present the COO/CFO and other senior leaders with a concise assessment of the issue, financial and operational impact, likelihood and severity of risk, available alternatives, and a clear recommended course of action.
Partner with Sales and Finance on Transactions
- Work closely with Sales and the COO/CFO to structure, negotiate, and close enterprise and strategic transactions.
- Advise on contract economics, payment terms, SaaS fees, credits, usage-based services, creator incentives, processing fees, refunds, service commitments, liability exposure, and nonstandard commercial structures.
- Help business teams resolve deal blockers while preserving appropriate legal and financial protections.
- Support accurate handoffs from Sales to Finance, Customer Success, Operations, Product, and other teams.
- Ensure that negotiated contractual commitments are clearly documented, understood, and incorporated into operational processes.
Build a Legal Decision and Approval Framework
- Develop and maintain a legal decision matrix defining approval authority based on contract value, complexity, strategic importance, nonstandard commercial terms, legal risk, financial exposure, and operational impact.
- Establish clear thresholds identifying which matters the Senior Corporate Counsel may approve independently and which require consultation with or approval from the COO/CFO, another executive, or outside counsel.
- Develop preapproved positions, fallback language, escalation triggers, and exception-approval processes that allow contracts to move efficiently while maintaining appropriate controls.
- Align the decision matrix with the company's broader delegation of authority, financial controls, pricing policies, and risk tolerance.
- Periodically update approval thresholds as Statusphere's products, contract volume, customer profile, transaction size, and risk appetite evolve.
- Train relevant business stakeholders on contracting authority, approval requirements, negotiation guidelines, and escalation procedures.
Manage Vendor and Consulting Agreements
- Review and negotiate technology, SaaS, data, professional-services, contractor, consulting, marketing, fulfillment, and other vendor agreements.
- Balance operational requirements, speed, cost, flexibility, data protection, and legal risk.
- Identify vendor obligations that require review by Finance, Security, Product, Operations, or other business owners.
- Develop practical approval and escalation standards for higher-value, higher-risk, or strategically important vendor arrangements.
Own Creator and Brand Contracting Frameworks
- Maintain and oversee Creator-Statusphere agreements and Brand-Creator terms used in connection with campaigns.
- Develop and manage client-specific or campaign-specific versions where required.
- Ensure the appropriate terms are deployed for each campaign and that acceptance, version control, and audit records are maintained.
- Advise on creator relationships, content ownership, intellectual property, usage rights, disclosure obligations, platform rules, and campaign compliance.
- Coordinate with Product and Operations to ensure contractual requirements are accurately reflected in platform and campaign workflows.
Advise on Privacy, Product, and Operational Matters
- Maintain and periodically update website Terms and Conditions, Privacy Policies, cookie and consent language, and other customer- or user-facing legal notices.
- Provide practical guidance on privacy, data use, security, artificial intelligence, creator data, customer data, and data-processing arrangements.
- Advise on payments, contracting authority, creator relationships, content rights, product workflows, and other day-to-day operational legal issues.
- Partner with Product, Security, Marketing, and Operations to identify legal implications associated with new features, workflows, integrations, and commercial offerings.
- Engage outside privacy, security, regulatory, or other specialists when matters require deeper subject-matter expertise.
Build Scalable Legal Operations
- Develop and maintain contract templates, clause libraries, negotiation playbooks, fallback positions, approval thresholds, and escalation procedures.
- Implement efficient legal intake, review, approval, signature, storage, renewal, and obligation-management processes.
- Maintain a reliable contract repository and improve visibility into contractual obligations, renewal dates, pricing commitments, notice periods, approval history, and material risk positions.
- Establish legal operations metrics, including contract volume, turnaround time, recurring negotiation issues, escalation frequency, outside-counsel usage, and contract exceptions.
- Identify opportunities to automate or streamline routine legal work as contract volume grows.
- Ensure material post-signature obligations are communicated to and owned by the appropriate business functions.
Manage Outside Counsel
- Identify matters requiring specialized, jurisdiction-specific, or high-risk legal support.
- Clearly frame the relevant facts, business objectives, risk questions, and required decisions before engaging outside counsel. <
