About the Role

The Company is seeking an Assistant General Counsel - Corporate to join their legal team. The successful candidate will be a key member of the corporate legal team, supporting the company's public reporting, corporate governance, securities law compliance, and various strategic corporate initiatives. This role involves close collaboration with senior executives and key business leaders, and the Assistant General Counsel will be responsible for a range of tasks, including the preparation and review of SEC filings, ensuring compliance with Exchange Act reporting requirements, and managing Section 16 reporting for directors and executive officers. Additionally, the role includes supporting financing transactions, maintaining corporate governance policies, and assisting with mergers, acquisitions, and other strategic transactions. Applicants for the Assistant General Counsel - Corporate position at the company should have 3-5 years' of relevant legal experience, with a strong background in U.S. securities laws, SEC reporting, and corporate governance. A J.D. from an ABA-accredited law school and an active license to practice law are required. The ideal candidate will have a strong understanding of the Securities Exchange Act of 1934, SEC reporting requirements, and corporate governance principles, with experience in proxy statements and Section 16 reporting being highly preferred. The role demands a self-starter with excellent communication, organizational, and interpersonal skills, who can manage multiple priorities in a fast-paced environment and is adept at providing practical, business-oriented legal advice. Proficiency in Microsoft 365 and the ability to leverage emerging technologies to modernize legal operations are also important.
