A leading national law firm is seeking an accomplished Corporate Associate to join its established Capital Markets and Securities practice in either its New York or Chicago office .

This opportunity is designed for an attorney with 4–6 years of experience at a major law firm who has developed a strong foundation in securities offerings, public company representation, and regulatory compliance.

The position offers the chance to work on sophisticated financing transactions while serving as a trusted advisor to publicly traded companies on their ongoing securities and corporate governance obligations.

Scope of Responsibilities

\n

The incoming associate will work on a diverse range of transactional and advisory matters, including:

\n
• Representing clients in registered and exempt offerings of debt and equity securities.
\n
• Preparing and reviewing offering materials, securities filings, and related transaction documentation.
\n
• Counseling public companies on periodic reporting, disclosure requirements, and obligations under the Securities Exchange Act of 1934.
\n
• Providing ongoing advice regarding board governance, corporate policies, and securities law considerations.
\n
• Assisting clients with SEC regulations, stock exchange listing standards, and related compliance requirements.
\n
• Collaborating with corporate teams on strategic business transactions and other matters involving securities law issues.

Candidate Profile

\n

Qualified applicants should possess:

• 4–6 years of substantive capital markets and securities experience gained at a large law firm.
\n
• Demonstrated experience representing clients in public and private debt and equity financings.
\n
• Strong working knowledge of Exchange Act reporting, SEC disclosure requirements, and public company governance.
\n
• Excellent drafting, analytical, and communication capabilities.
\n
• The ability to manage multiple assignments, exercise sound judgment, and deliver practical, business-focused advice.

• Active admission to the New York or Illinois State Bar.
