Investment Management Associate AttorneyDirect Counsel is seeking an Investment Management Associate to join a nationally recognized Investment Management Practice Group at a highly respected Am Law firm. This is an exceptional opportunity for an associate with substantive investment management and regulatory experience to work with sophisticated clients in a collaborative and nationally ranked practice.The ideal candidate will have experience advising registered investment companies and investment advisers on regulatory, compliance, and transactional matters under the federal securities laws governing the investment management industry.ResponsibilitiesAdvise clients on matters involving: The Investment Company Act of 1940The Investment Advisers Act of 1940The Securities Act of 1933The Securities Exchange Act of 1934Represent registered investment companies and investment advisers on regulatory and compliance mattersPrepare and review: Registration statementsOffering documentsBoard meeting materialsInvestment management agreementsRelated fund governance and compliance documentationAssist clients with ongoing regulatory filings and disclosure obligationsConduct legal research and provide strategic regulatory guidanceCollaborate with attorneys and clients on sophisticated investment management mattersSupport transactional and operational matters affecting investment advisers and registered fundsQualificationsJ.D. from an accredited law school with strong academic credentials3–8 years of substantive investment management experienceStrong knowledge of federal securities laws and regulations governing investment companies and investment advisersExperience representing registered investment companies requiredExcellent writing, analytical, and organizational skillsStrong attention to detail and ability to manage multiple prioritiesProactive, responsive, and solutions-oriented mindsetAbility to work independently and collaboratively within a team-oriented environmentCompensation & BenefitsAnticipated salary range: $260,000 – $435,000, depending on experience, skills, and locationCompetitive bonus opportunitiesComprehensive health, life, accident, and disability insurance401(k) retirement planFlexible hybrid work model with approximately three in-office days per weekCollaborative and client-focused culture emphasizing mentorship and professional developmentThis is an outstanding opportunity to join a top-ranked investment management practice handling sophisticated regulatory and fund matters for prominent clients across the financial services industry.
