Key Responsibilities

• Lead mergers and acquisitions transactions from inception through closing

• Draft and negotiate acquisition agreements and sophisticated transaction documentation

• Handle public M&A and take-private transactions involving complex deal structures

• Manage due diligence teams and oversee transaction workflows

• Advise clients on corporate governance and transactional matters

• Coordinate with attorneys across multiple practice groups during transactions

• Work directly with clients, executives, and senior attorneys on strategic transactions

• Manage multiple complex deals in a fast-paced corporate environment

• Assist with transaction structuring, negotiations, and closing processes

• 4-7 years of corporate transactional experience with a focus on public M&A and take-private transactions

• Strong knowledge of acquisition agreements and corporate governance matters

• Excellent legal writing and analytical abilities
