Job Overview LPL Financial seeks an experienced attorney to join its corporate legal advice team as Vice President, Assistant General Counsel, Brokerage. This VP will report to a Senior Vice President responsible for providing strategic legal advice to various business units. This team focuses primarily on the needs of LPL’s broker-dealer business but also provides support to the investment advisory business as well as supporting the firm’s platform conversions involving these businesses. This position entails advising LPL’s (1) Business Development Unit; (2) Corporate Transaction and M&A team; and (3) various affiliation models and brokerage and custodial platforms. The ideal candidate is one who can thrive in a fast-paced business environment and can manage a substantial docket autonomously. Relevant private practice or in-house counsel experience advising on FINRA rules, SEC regulations, Exchange Act requirements, and state securities laws is required. Roles & Responsibilities Provide day-to-day legal support for LPL’s financial services business, including providing legal analysis and advice with respect to applicable rules, regulations and legal risk relating to the brokerage and investment advisory business. Work with a senior attorney on internal merger and acquisition projects supporting conversions and serving as a legal advisor to the business, compliance, operations and senior management to ensure regulatory approvals are obtained and organizational changes are implemented in compliance with applicable securities laws and FINRA rules. This may include engaging with FINRA and other regulators. Provide conversion and integration support, including advice and counsel on legal and regulatory implications of business migrations, repapering efforts, bulk transfers, and operational changes. Drafting and modifying client agreements, account documentation and disclosures, and filings with regulators. Performing legal research and drafting memorandums concerning compliance with applicable laws, rules and regulations. Interacting with other members of the Legal Department as well as other LPL units including, amongst other departments, Compliance and Risk. What are we looking for? Requirements 5-10 years of experience in dealing with issues arising under the Securities Exchange Act, Investment Advisers Act of 1940, FINRA rules and regulations as well as related federal and state securities laws. Experienced in legal writing, performing legal research (LexisNexis preferred) and written communication skills. Experienced with the regulatory landscape applicable to broker-dealers and registered investment advisers, including familiarity with regulatory processes (SEC and FINRA). Experience with supporting financial institutions in conversions and FINRA regulatory applications. Core Competencies Proficiency with MS Word, Excel, PowerPoint, and Outlook. Ability to interface effectively with investment personnel as well as LPL advisors, clients and their counsel. Ability to understand and assess a wide variety of complex commercial transactions. Highly motivated self-starter able to work independently while collaborating and coordinating as part of a global program. Strong analytical and problem solving skills and the ability to provide viable solutions in a time-sensitive environment. Exceptional written and verbal communications skills, attention to detail, and effective time management. Sound judgment and an ability to appropriately elevate issues internally. Proven ability to handle highly confidential information professionally and with appropriate discretion. Preferences Strong interest in developing AI proficiency, including the ability to learn and adopt emerging AI tools and technologies in support of objectives. Pay Range $168,611.00 - $281,087.00 Actual base salary varies based on factors, including but not limited to, relevant skill, prior experience, education, base salary of internal peers, demonstrated performance, and geographic location.
