Position Overview

The firm is seeking an attorney with 10+ years of relevant experience in investment funds, private capital, and regulatory matters. The selected candidate will advise clients on sophisticated fund structures, fundraising strategy, operational matters, and ongoing compliance obligations.

Representative matters may include:

• Private equity fund formation

• Hedge fund formation

• Venture capital fund structuring

• Real estate fund formation

• Credit and hybrid fund vehicles

• Sponsor and GP structuring

• Management company formation

• Subscription documents and investor negotiations

• Side letters and investor arrangements

• SEC, Advisers Act, and regulatory compliance

• Internal governance and operational matters

• Strategic transactions involving asset managers or fund sponsors

Ideal Candidate

• 10+ years of investment funds / private funds experience in a law firm setting

• Deep knowledge of fund formation, structuring, and ongoing compliance

• Strong drafting and negotiation skills

• Experience managing sophisticated matters and client relationships

• Practical commercial judgment and business-minded approach

• Strong academic credentials

• Excellent written and verbal communication skills

• Applicable bar admission in preferred office location
