Overview

A leading Am Law 100 firm is seeking a mid-level Associate to join its Technology Companies group. This role offers the opportunity to advise emerging growth and technology companies throughout their lifecycle, from formation and venture financings to strategic transactions and capital markets activities.

The ideal candidate has strong transactional experience, the ability to work both independently and collaboratively, and a demonstrated interest in representing innovative technology companies.

Responsibilities

• Represent technology companies in a broad range of corporate and transactional matters

• Advise clients on early and late-stage venture capital financings

• Assist with mergers, acquisitions, and other strategic transactions

• Support private and public securities offerings

• Manage significant components of transactions independently while collaborating with larger deal teams

• Draft, review, and negotiate transaction documents and corporate governance materials

Qualifications

• J.D. from an accredited U.S. law school

• Mid-level corporate associate experience at a comparable law firm

• Experience representing technology companies in venture financings, M&A transactions, and capital markets matters

• Strong drafting, analytical, and communication skills

• Outstanding academic credentials

• Admission to the applicable State Bar (or eligibility to obtain admission promptly)

• Deal sheet required

Compensation & Benefits

Competitive salary ($260,000 – $390,000) plus bonus potential. Comprehensive benefits package including medical, dental, vision, retirement plans, paid leave, and additional firm-sponsored benefits.
