Legal Organization Role Members of the Legal organization at select locations will generally be expected to follow a hybrid work model, which includes two days of in-office attendance each week, with limited exceptions. You will join a dynamic, in-house legal department that leverages technology to transform the practice of law. Our team operates at the center of Cisco's most strategic commercial relationships, negotiating complex agreements with the world's leading hyperscalers and web platform providers in a fast-paced environment driven by a passion for enabling Cisco's business and our customers' digital and AI transformation. Join us! In this role, you will: Draft and negotiate bespoke, complex sales and commercial agreements with major hyperscalers and web platform providers, including cloud, software and technology licenses, AI/ML arrangements, data protection agreements, and strategic alliances. Advise on AI- and IP-related issues, including model and data licensing, IP ownership and indemnification, AI warranties and liability, responsible-AI commitments, and emerging AI regulation (e.g., EU AI Act). Provide counsel across direct and indirect sales through channel partners, distributors, and resellers, addressing distribution agreements, flow-down terms, pricing, and channel issues. Partner with Finance to structure deal terms consistent with revenue recognition policies, avoiding unintended accounting outcomes. Serve as a trusted advisor to senior Sales leadership and Finance, providing practical, business-focused guidance aligned with Cisco's priorities. Analyze and resolve complex business and legal issues through clear, actionable advice. Ensure all transactions adhere to internal compliance, governance, data privacy, and regulatory requirements. Act as a proactive teammate and mentor, contributing to a culture of shared success. Minimum Qualifications: 12+ years of legal experience, with substantial technology-industry experience supporting complex transactional matters for a multinational organization. Expert knowledge of commercial, contract, and business law. Proficiency in intellectual property, software and technology licensing, data use rights, privacy and security, antitrust, and export-import regulations. Demonstrated experience negotiating high-value agreements with major hyperscalers (including on counterparty templates) and handling AI legal issues. Excellent academic credentials; admitted to practice law in the applicable jurisdiction. Familiarity with data privacy frameworks (e.g., GDPR, CCPA, EU Data Act). High proficiency in standard desktop applications (Office 365). Excellent English language skills (written and verbal). Preferred Qualifications: CIPP/E certification is a plus. Experience advising on generative AI and using AI-powered tools to assess and mitigate legal risk. Experience with cloud marketplace transactions, co-sell/partner programs, and consumption or committed-spend pricing models. Understanding of revenue recognition and financial principles common to US-based publicly traded companies. Experience working with multinational companies. Success Attributes: Adaptability: Ability to manage frequent changes in priorities, deadlines, and workload. Disruptive Innovation: A creative mindset; you are a change agent who identifies and implements more efficient ways of working. Critical Thinking: Ability to conduct thoughtful analysis of complex agreements and articulate risk/reward scenarios. Leadership: Strong judgment in knowing when to escalate issues and how to propose effective solutions. Client-Centricity: A positive, professional, and respectful approach to all internal and external stakeholders Why Cisco?
