Corporate Counsel As Corporate Counsel, you will serve as a strategic legal partner responsible for protecting Modigent's interests while enabling continued growth across our national portfolio of operating companies. Reporting to the Chief Legal and Risk Officer, you will provide practical legal counsel, negotiate complex construction and commercial agreements, resolve disputes, and support strategic initiatives such as acquisitions and integrations. Success in this role is defined by your ability to balance legal risk with sound business judgment, helping leaders make confident decisions that support operational excellence and long-term growth. Performance outcomes successful in this role include the ability to: Deliver timely, practical legal guidance that enables executive leadership, operating company teams, and project personnel to make informed business decisions. Draft, review, negotiate, and manage construction and commercial agreements that appropriately allocate risk while supporting successful project execution. Effectively manage and resolve construction claims and disputes while protecting the company's legal and business interests. Develop and maintain standardized contract templates, negotiation playbooks, and legal resources that improve consistency and efficiency across the organization. Support acquisitions, operating company integrations, joint ventures, and other strategic initiatives. Increase organizational understanding of contracts, legal risk, and commercial best practices through practical training and knowledge sharing. Construction & Commercial Contract Management Draft, review, redline, and negotiate prime contracts, master service agreements, subcontracts, professional services agreements, vendor/supplier contracts, and purchase order terms and conditions using AIA, ConsensusDocs, and custom forms. Advise on contract interpretation, risk allocation, indemnity, insurance requirements, and dispute resolution provisions across various project delivery methods. Review and negotiate other commercial contracts, including office leases, SaaS agreements, and temporary labor contracts. Claims Management & Dispute Resolution Manage and resolve construction claims and disputes, including notices to cure, delay claims, non-payment disputes (i.e., lien and bond claims), and related matters. Collaborate with operations, insurance carriers, sureties, and outside counsel to resolve claims and disputes. Strategic Business Partnership Provide practical legal guidance to executive and senior leadership, operating company teams, and project personnel on commercial agreements and operational matters. Support corporate transactions, including acquisitions, integration of new operating companies, joint ventures, and teaming agreements. Assist with corporate governance matters such as licensing and Secretary of State filings, as needed. Legal Operations & Capability Building Develop and maintain standard contract templates and negotiation playbooks tailored to the company's operations. Develop and deliver training to leadership and operational teams on contract-related topics. Requirements/Qualifications: Education: Juris Doctor (JD) from an accredited law school required. Licensure: Candidates must be licensed in either Florida, Texas, Arizona, or Georgia. Active bar membership in good standing required. Location: This position is remote, but candidate must be based in one of the following markets: Florida, Texas, Arizona, or Georgia. Experience: 5–10 years of relevant legal experience. Prior in-house experience at a construction company is strongly preferred (general contractor with multiple subsidiaries across states is ideal or large MEP/specialty trade contractor with multi-state operations is also highly valued). Demonstrated expertise reviewing, drafting, and negotiating complex construction contracts and resolving construction claims and disputes is essential. Technology: Proficiency with Microsoft Office, AIA software, AI contract review tools, and other legal technology platforms. Physical Demands: Primarily home office-based with occasional travel to Modigent's headquarters in Phoenix, Arizona or operating company locations. Pueblo Mechanical & Controls
