Corporate Governance Specialist

Are you a corporate governance and securities specialist looking for a new and exciting in-house role with a public company? Latitude has a corporate client looking to add someone like you to their in-house legal team. Applicants must have extensive experience supporting public companies with corporate governance and securities matters. Prior experience working in-house at a major corporation is required. This is a great opportunity for someone to have responsibility for the corporate governance of a fast-growing company. Key Responsibilities Will Include Prepare and file certificates of formation, by-laws, and operating agreements for legal entities and oversee corporate subsidiary management Prepare corporate governance documents and materials related to Board of Directors and Board Committees Review, research, and manage the Company’s Section 16 filings, 10-Ks, 10-Qs, 8-Ks, proxy statements and registration statements Support administration of Company’s equity plans and grants Maintain and file corporate records, including resolutions, minutes, Board of Director changes, D&O questionnaires, etc. Assist with mergers and acquisition (“M&A”) activities including but not limited to organizing and maintaining M&A documentation Collaborate with outside counsel, various internal business groups and key vendors for the legal department Requirements For The Corporate Governance Specialist 10+ years of corporate paralegal experience Working knowledge of NYSE and/or Nasdaq requirements Bachelor’s degree and/or paralegal certificate preferred Prior successful experience working in the legal department of a public company is required Ability to work in a fast-paced environment Proficiency with one or more of the following platforms: Entity management systems such as Cogency, Board portals such as Diligent, EDGAR Next, and SEC filing software such as Wdesk Position Details For The Corporate Governance Specialist Type of role: Permanent Schedule: Full-time Location: Flexible Compensation Pay: The salary range for this role is $160,000 to $190,000, and is eligible for bonuses. Pay is based on multiple factors including but not limited to work experience, qualifications, credentials, and location. Benefits: In addition to pay, a competitive benefits package is also provided, including medical, dental, vision, life, and disability insurance; 401(k) and generous leave policies.
