Private Funds Associate Attorney – New York, New York; Chicago, Illinois; or Washington, DC

Direct Counsel is seeking a Private Funds Associate Attorney to join a prestigious Am Law firm in its New York, Chicago, or Washington, DC office.

This opportunity is ideal for an attorney with 4–7 years of experience advising private equity sponsors, investment managers, and institutional investors on private fund formation and related investment management matters. The successful candidate will join a market-leading investment management practice and work on sophisticated fund formation, structuring, fundraising, and regulatory matters for a diverse client base.

Key Responsibilities:

• Advise private equity sponsors and investment managers on the formation, structuring, and operation of private investment funds.

• Draft and negotiate fund formation documents, including partnership agreements, subscription documents, and side letters.

• Counsel clients on fundraising activities and investor negotiations.

• Advise on regulatory and compliance matters affecting private funds and investment advisers.

• Assist with the formation and structuring of sponsor entities and related investment vehicles.

• Support clients on ongoing fund governance and operational matters.

• Collaborate with attorneys across corporate, tax, regulatory, and transactional practice groups.

• Develop and maintain strong client relationships while providing practical, business-oriented legal advice.

Qualifications:

• J.D. from an ABA-accredited law school.

• Active membership and good standing with the Bar in at least one U.S. jurisdiction.

• 4–7 years of experience in private funds, investment management, or related transactional matters.

• Experience representing private equity sponsors, fund managers, or institutional investors in fund formation matters.

• Relevant in-house investment management experience will also be considered.

• Strong drafting, analytical, and negotiation skills.

• Excellent written and verbal communication abilities.

• Ability to manage multiple sophisticated matters simultaneously.

• Strong attention to detail and commitment to exceptional client service.

• Outstanding academic credentials and solid law firm experience preferred.

Compensation: $310,000 – $420,000, commensurate with experience and qualifications, plus potential bonus eligibility.
