Contract Specialist

We are seeking a skilled legal professional with experience reviewing, drafting, and negotiating commercial contracts. This individual will support business operations by providing practical legal guidance, identifying risk, and helping ensure that contractual agreements align with company policies and business objectives. The ideal candidate has strong experience managing a variety of vendor, customer, and partner agreements and can work effectively with internal stakeholders across legal, procurement, sales, and leadership teams.

Key Responsibilities

Review, draft, and negotiate a wide range of commercial agreements, including:

• Master service agreements
• Statements of work
• Non-disclosure agreements
• Vendor and supplier contracts
• Licensing agreements
• Professional services agreements
• Terms and conditions

Analyze contract terms to identify legal, business, and operational risks.

Provide clear, practical guidance to internal stakeholders on contract provisions and negotiation strategy.

Redline agreements and lead negotiations with counterparties to reach favorable terms.

Ensure contracts comply with company policies, legal requirements, and risk management standards.

Partner with business teams including procurement, sales, finance, and operations to support contract lifecycle needs.

Assist with contract templates, clause libraries, and process improvements.

Support ongoing contract administration, amendment tracking, and remediation efforts.

Escalate complex legal issues appropriately and collaborate with senior legal leadership when needed.

Maintain organized and accurate contract records and documentation.

Qualifications

• Juris Doctor or equivalent legal qualification preferred; strong contract management professionals without a law degree may also be considered depending on role scope.
• 1+ years of experience reviewing and negotiating commercial contracts.
• Experience with procurement, vendor, customer, and other business-to-business agreements.
• Strong understanding of contract law principles and risk allocation.
• Demonstrated ability to negotiate terms related to indemnification, limitation of liability, termination, confidentiality, data privacy, and intellectual property.
• Excellent written and verbal communication skills.
• Strong attention to detail and ability to manage multiple priorities in a fast-paced environment.
• Ability to balance legal risk with practical business considerations.
• Experience working with contract lifecycle management systems is a plus.
