Contracts Director
AMAG Technology
Job Description
Company Description AMAG Technology is a global leader in identity-driven physical security, delivering the Symmetry platform – an enterprise-grade access control and identity management solution trusted by some of the world’s most demanding organizations. From data centers and healthcare campuses to government estates and global financial institutions, AMAG secures the places and people that matter most. Operating at the intersection of physical security and digital identity, AMAG is at a pivotal moment of global expansion.
\nRole Description AMAG is creating a new, in-house Contracts Director role to serve as the company’s day-to-day legal and commercial contracting resource. This is a senior, hands-on individual contributor position – not a General Counsel role. You will draft, review and redline the agreements that keep the business moving – supplier, vendor, reseller and channel, partnership and customer agreements, and NDAs – and work alongside AMAG’s business leaders, advising and assisting them as they negotiate and close those agreements. You will also provide general legal support on internal corporate matters and maintain AMAG’s legal documentation across the enterprise. You will take direction from business function executives – who own the commercial relationships and priorities – and act as their trusted contracts advisor across Sales, Supply Chain, Operations, Engineering, Product Management, Finance and HR in our US and UK operations. You will carry out the legal and contract work itself with minimal direction. Beyond doing the work, we are looking for a thought leader in the business: someone who understands how contract terms drive margin, cash flow, supply continuity and risk, and who proactively shapes how AMAG contracts. External counsel will continue to be engaged for M&A, litigation, significant liability exposures and other specialist matters. You will judge when to escalate, manage those relationships, and keep external legal spend focused where it adds the most value.
\nQualifications
\n· Serve as AMAG’s in-house resource for day-to-day commercial and legal contracting, drafting, reviewing and redlining agreements with minimal direction and advising business leaders through negotiation and close.
\n· Own the full lifecycle of business-to-business agreements, including supplier and component supply agreements, vendor and services agreements, reseller, distributor and channel partner agreements, OEM, technology and strategic partnership agreements, customer terms, and NDAs.
\n· Advise and assist business function executives in contract negotiations – taking direction on commercial priorities, framing options and trade-offs on key terms (limitation of liability, indemnities, warranties, IP ownership and licensing, data protection, pricing and payment terms, delivery, and termination), preparing negotiation positions and redlines, and joining counterparty discussions when requested.
\n· Partner with Supply Chain and Operations on supplier terms that protect continuity of supply, lead times, pricing, quality, warranty pass-through and inventory commitments.
\n· Support Sales and channel leaders in structuring and closing reseller, distributor and end-customer agreements efficiently – supporting deal velocity while protecting margin and managing risk.
\n· Work closely with Finance to ensure contract terms support gross margin, revenue recognition, cash flow, credit risk and financial reporting requirements.
\n· Support contracting across both US and UK jurisdictions, working alongside UK-based manufacturing, engineering and commercial teams and applying a practical understanding of the differences between US and UK law and practice.
\n· Provide general legal support on internal corporate matters, including corporate policies, entity and governance administration, employment-related agreements in partnership with HR, compliance questions, and contract disputes before they escalate.
\n· Act as a thought leader and trusted advisor to the leadership team – identifying commercial and legal risk early, recommending practical solutions, and influencing how AMAG approaches negotiations, partnerships and risk.
\n· Build and maintain contract templates, playbooks, clause libraries, approval matrices and delegation-of-authority guidance, and train internal teams on contracting fundamentals and escalation routes.
\n· Maintain AMAG’s legal documentation across the enterprise – executed contracts, amendments, NDAs, corporate and entity records, and policies – ensuring documents are properly executed, securely retained and readily recalled when needed.
\n· Manage the contract execution process, including signature authority, approval routing and e-signature, and confirm fully executed copies are captured in a central repository.
\n· Establish and run contract and document management processes, including version control, retention standards, obligation and renewal tracking, and reporting on contract activity and key exposures.
\nExperience/Knowledge
\n· Bachelor’s degree & Juris Doctor (JD) – OR, in lieu of a law degree, extensive hands-on corporate contracts experience (typically 12+ years) handling the full scope of responsibilities above.
\n· 10+ years of progressive, hands-on experience drafting, reviewing and negotiating business-to-business commercial contracts, in-house and/or in private practice.
\n· Extensive experience with supplier, vendor, reseller/channel, partnership and NDA agreements and the key terms that drive them.
\n· Hands-on experience contracting across both US and UK jurisdictions, with working knowledge of the differences between US and English contract law and practice.
\n· Strong understanding of commercial, supply chain and financial terms – pricing, payment terms, Incoterms, warranties, liability caps, indemnities, IP and data protection – and their impact on margin, cash and risk.
\n· Proven record as a primary contracts resource advising business leaders through negotiations, working autonomously on drafting and review, with sound judgment on when to escalate to external counsel.
\n· Experience managing contract execution and legal records – signature authority, central repositories, retention and retrieval.
\nExperience directing external counsel, including instructions, scope and budget.
