Transactional Tax-Exempt Organizations Associate

Overview The Tax-Exempt Organizations Practice Group advises a diverse clientele including colleges, universities, hospitals, social service organizations, research institutions, private foundations, religious organizations, museums, and individuals involved as founders, officers, directors, and contributors. The role focuses on drafting and reviewing transaction documents, board materials, IRS submissions, and client advisory materials for nonprofit mergers, acquisitions, joint ventures, conversions, spin-offs, corporate reorganizations, and tax-exempt bond financings. Support is provided to nonprofit and tax-exempt clients on critical issues such as tax compliance, unrelated business income, private inurement/benefit, intermediate sanctions, sophisticated executive compensation, governance, fundraising, and charitable giving. The position offers direct engagement with partners and clients on sophisticated matters within healthcare, education, research, and other mission-driven sectors, and provides an opportunity for growth on an equity partner track. Required experience includes transactional tax from a "big law" firm, with some experience advising nonprofit and tax-exempt organizations being mandatory; an LLM in Taxation is preferred.
