VP & General Counsel- Camden-Clark Health Services

The Vice President & General Counsel is responsible for serving as the on-site General Counsel of Camden-Clark Health Services, Inc. (CCHS), and its subsidiaries, with the assistance, as needed, of the other Assistant Counsel, Associate Counsel, Assistant Vice Presidents ("AVP"), Deputy General Counsel ("DGC"), and the Chief Legal Officer ("CLO") of WVUHS Legal Services.

MINIMUM QUALIFICATIONS:

• 1. Juris Doctor
• 2. West Virginia Bar membership or eligibility.

EXPERIENCE:

• 1. At least five (5) years of substantial experience in a law firm or in-house legal department with substantive experience in drafting, reviewing and negotiating contracts and other instruments documenting arrangements and transactions between parties.

CORE DUTIES AND RESPONSIBILITIES:

• 1. Serves as an Associate General Counsel of WVUHS.
• 2. Serves as the on-site General Counsel of CCHS with the assistance, as needed, of the other Assistant Counsel, Associate Counsel, AVPs, DGC, and of the CLO of WVUHS Legal Services.
• 3. Serves as an integrated component of WVUHS' Legal Services Department and CCHS' Leadership Team.
• 4. Oversees the on-site, day-to-day legal affairs of CCHS, and its subsidiaries, including risk management, contracts, insurance, and day-to-day legal issues.
• 5. Assists WVUHS Litigation Counsel, as needed, with the handling of malpractice, employment, and other lawsuits against CCHS, and its subsidiaries, and, as appropriate, handles such matters directly.
• 6. Assists Associate General Counsels, AVPs, DGC, and CLO of WVUHS Legal Services, as needed, with the handling of transactions involving CCHS, and its subsidiaries, and, as appropriate, handles such matters directly.
• 7. Oversees Medical Staff, credentialing, and licensing matters involving CCHS, and its subsidiaries, with the assistance, as needed, of Associate General Counsels, AVPs, DGC, and CLO of WVUHS Legal Services.
• 8. Assists the Corporate Compliance Officers of WVUHS and CCHS, as needed, on compliance matters.
• 9. Selects or participates in the selection of, as the case may be, the outside counsel to advise and represent CCHS and its subsidiaries.
• 10. Oversees or participates in the oversight of, as the case may be, such outside counsel.
• 11. Stays up-to-date on developments in the law.
• 12. Develops and implements an appropriate educational program for the Boards of Directors, officers, and employees with respect to applicable laws and their legal duties and responsibilities.
• 13. Performs such other duties as requested by the Chief Legal Officer of WVUHS and President & CEO of CCMC.

• 4. Knowledge of academic medical center operations preferred.
• 5. Ability to communicate and interact with administration, department heads, medical staff and other hospital personnel.
