Staff Counsel

Job Description

Eclipse Advantage is seeking a Staff Counsel to serve as a business generalist to support a variety of legal functions impacting the organization including but not limited to employment counseling, litigation management, regulatory compliance with a focus on wage and hour matters, dispute resolution, commercial contracts life-cycle and risk management. The Staff Counsel will report directly to the General Counsel.

What You'll Do

Employment Counseling

• Act as a legal escalation point to advise HR on employee life-cycle matters including hiring, policy development, performance management, leave management, investigations, terminations and post termination.

Litigation Management

\n
• Work with outside counsel to manage litigation across multiple states.
\n
• Handle e-discovery using internal resources.
\n

Regulatory Compliance

\n
• Research and understand the laws that apply in the various locations where we conduct business.
\n
• Participate in advice and training with regard to said laws.
\n
• Interface with local, state and/or federal agencies related to compliance matters.
\n
• Assist in development of A.I strategy, policies and procedures.
\n
• Assist in maintenance of data privacy strategy, policies and procedures.
\n

Dispute Resolution

\n
• Handle disputed matters prior to and with a goal of avoiding litigation, including agency complaints and inquiries, employee complaints, and customer and vendor disputes.
\n
• Handle subpoena and record requests.
\n

Commercial Contract Life Cycle

\n
• Draft, review and negotiate client and vendor contracts including those involving SAAS and licensing of technology.
\n
• Regular maintenance of contracts to address developments and changing circumstances.
\n
• Maintain standard templates (MSAs, NDAs) to support efficient and fast-paced sales cycles.
\n

Risk Management

\n
• Collaborate with Risk Management Department to support insurance program.
\n
• Proactively identify, escalate and resolve significant risks to the business that overlap with various areas of legal support.
\n

Qualifications Required

\n
• Juris Doctor (J.D.): Degree from an accredited, top-tier law school.
\n
• Bar Admission: Active member in good standing with the State Bar in CA, IL, NJ, NY or PA .
\n
• Able to handle a fast-paced environment without significant oversight.
\n
• Able to work independently without significant administrative support.
\n
• Able to lift/carry approximately 10-15 pounds with or without reasonable accommodation.
\n

Professional Experience

\n
• Experience Level: 3 to 5 years of practicing corporate or employment law with a top-tier law firm; in-house experience a plus.
\n
• Experience with State and Local wage and hour laws, including California PAGA litigation
\n
• Employment Law: Strong foundation in employment litigation, workplace investigations, and drafting HR policies and training.
\n
• Commercial Contracts: Experience drafting and negotiating client and vendor agreements is a plus.
\n
• Experience in the staffing or logistics industries is a plus.
\n

Compensation - $145K to $185K plus bonus.
