About the Role

The Company is in search of a General Counsel / Chief Legal Officer to take on a pivotal role as the senior legal advisor. This hands-on leadership position demands a seasoned attorney with a strong background in intellectual property, U.S. government contracting, export controls, and corporate governance. The successful candidate will be responsible for building and leading the legal function, developing and managing the organization's intellectual property strategy, and ensuring compliance with U.S. government contracting and export control requirements. Additionally, the role involves serving as Corporate Secretary, directly managing board governance, and partnering with executive leadership on legal risk management, compliance, and business strategy. Applicants must have a Juris Doctor (JD) and active Delaware Bar membership, with a minimum of 10 years' legal experience, including significant in-house experience within a technology, defense, or aerospace organization. Substantive experience in intellectual property management, U.S. government contracting, and export controls is essential. The role also requires the ability to obtain and maintain a U.S. TS/SCI security clearance and experience in supporting a Board of Directors or serving as Corporate Secretary. Preferred qualifications include active Texas Bar membership, experience in related sectors, and familiarity with international defense trade compliance. The ideal candidate will be adept at both strategic and executional levels, with the judgment and executive presence to advise senior leadership and a hands-on approach to legal and governance work.
