Senior Corporate Attorney

Location: New York City, NY

A boutique, high-performing corporate practice is seeking a Senior Corporate Attorney (6+ years) with strong experience in corporate transactional work—particularly sell-side M&A . This role offers immediate integration into a sophisticated deal practice with meaningful exposure to healthcare and defense contracting transactions.

• Work on complex, high-stakes transactions with direct client access.

• Gain deep experience in healthcare (diagnostic labs, provider groups) and defense contracting , two rapidly growing and highly specialized sectors.

• Lead and support sell-side M&A transactions , frequently opposite private equity buyers or PE-backed acquirers.

• Advise clients across industries, with strong exposure to healthcare and defense contracting transactions.

• Provide occasional support for hospital and healthcare regulatory matters when needed.

• Draft, review, and negotiate key transactional documents, including purchase agreements, disclosure schedules, and ancillary agreements.

• Conduct due diligence and deliver practical, commercially aligned guidance throughout the transaction lifecycle.

• Collaborate closely with partners and senior attorneys on deal execution and ongoing client relationships.

• Provide solutions-oriented legal advice that matches clients’ business objectives.

• Handle high-profile and industry-specific transactions that build rare marketable expertise.

• NY or FL bar strongly preferred (or ability to obtain admission).

• Base Salary: Starting at $200K+

• Bonus: Performance-based, typically 10–20%
