Summary The Corporate Paralegal will assist the General Counsel, Deputy General Counsel, and other Legal Department attorneys in providing timely, practical, and responsive legal support to the Company's Board of Directors, executive leadership, management, and business stakeholders. This role serves as a key member of the Legal Department and provides direct support to attorneys responsible for Medicare Advantage health plan operations, contracting, regulatory compliance, corporate governance, licensure, privacy, litigation management, and healthcare regulatory matters. The Corporate Paralegal will be responsible for maintaining and improving contract lifecycle management processes, corporate governance systems, regulatory filing processes, and legal operations workflows. The individual will work closely with attorneys and business partners across the organization to support compliance with federal and state healthcare laws and regulations, including Medicare Advantage requirements administered by the Centers for Medicare & Medicaid Services (CMS). Essential Duties & Responsibilities Corporate Governance and Corporate Entity Management Draft, file, and maintain corporate governance documents, including board and committee resolutions, consents, minutes, organizational documents, annual reports, and related records for corporations, limited liability companies, partnerships, and other entities. Maintain corporate records, minute books, entity databases, and organizational charts. Coordinate entity formations, dissolutions, foreign qualifications, amendments, mergers, acquisitions, and other corporate transactions. Assist attorneys with due diligence, document collection, and regulatory filings related to corporate transactions and reorganizations. Maintain calendars and tracking systems for corporate filings, annual reports, registrations, and governance requirements. Contracts and Legal Operations Maintain contract templates and standard legal forms, incorporating updates required by changes in applicable laws, regulations, and business practices. Draft, review, revise, and manage contracts, amendments, statements of work, non-disclosure agreements, business associate agreements, vendor agreements, consulting agreements, and other commercial documents. Manage contract lifecycle processes, including intake, routing, execution, storage, renewal tracking, and reporting. Support implementation and administration of contract lifecycle management (CLM) systems and related legal technologies. Develop and maintain contract management workflows and reporting tools to improve efficiency and compliance. Medicare Advantage and Health Plan Regulatory Support Provide direct support to attorneys advising Medicare Advantage plans and affiliated healthcare organizations. Assist with state health plan licensure matters, applications, renewals, and ongoing regulatory compliance activities. Prepare, organize, and maintain documentation required for CMS audits, state insurance department examinations, and regulatory investigations. Assist with preparation and submission of regulatory filings, notices, attestations, and other required submissions to CMS, state insurance departments, and other governmental agencies. Monitor federal and state legislative and regulatory developments impacting Medicare Advantage plans, managed care organizations, delegated entities, providers, and other healthcare operations. Prepare summaries, analyses, and tracking reports regarding new healthcare laws, regulations, guidance, enforcement actions, and industry developments. Support attorneys with regulatory inquiries, corrective action plans, responses to government requests, and compliance-related projects. Assist with maintaining and updating policies, procedures, and compliance documentation related to health plan operations. Healthcare Contracting Support Support drafting, organization, and management of provider agreements, delegated entity agreements, administrative services agreements, pharmacy-related agreements, vendor contracts, and other healthcare-related arrangements. Assist with contract review and preparation to ensure compliance with CMS regulations, Medicare Advantage requirements, state insurance laws, and company policies. Maintain databases and tracking tools for provider and vendor contracting initiatives. Support attorneys in responding to business stakeholder questions regarding contractual requirements and operational obligations. Litigation and Dispute Management Assist with litigation, arbitration, mediation, subpoenas, claims, grievances, investigations, and complaint responses. Coordinate document preservation, collection, and production activities. Manage litigation holds and maintain litigation tracking databases. Coordinate with outside counsel regarding pleadings, discovery, and case management activities. Privacy, Compliance and Regulatory Investigations Assist attorneys with privacy and data security matters, including incident investigations, documentation, and regulatory reporting obligations. Maintain records associated with HIPAA compliance, privacy incidents, and regulatory investigations. Track compliance obligations and support implementation of corrective actions. Legal Department Operations Manage legal intake and matter management systems. Maintain departmental records, filing systems, templates, and knowledge management resources. Create reports, dashboards, and metrics regarding contracts, regulatory matters, litigation, and other legal activities. Identify process improvement opportunities and lead initiatives designed to enhance Legal Department efficiency and effectiveness. Assist with special projects and strategic initiatives assigned by Legal Department leadership. Qualifications
KNOWLEDGE, SKILLS AND ABILITIES
Strong knowledge of corporate governance and corporate entity management. Understanding of healthcare regulatory requirements, including Medicare Advantage, Medicaid, CMS regulations, state insurance regulations, and healthcare compliance concepts. Familiarity with healthcare contracting, provider contracting, delegated entities, and managed care operations preferred. Excellent organizational and project management skills with the ability to manage multiple priorities, deadlines, and regulatory requirements simultaneously. Exceptional attention to detail and accuracy. Strong legal drafting, writing, and analytical skills. Excellent verbal and written communication skills. Experience with contract lifecycle management systems, legal operations tools, and document management systems. Ability to exercise sound judgment and maintain confidentiality, including the handling of sensitive and confidential information. Advanced proficiency in Microsoft Office applications, including Word, Excel, PowerPoint, and Outlook. Ability to work independently with minimal supervision while collaborating effectively with attorneys, executives, and business stakeholders. Proactive, highly organized, and comfortable working in a fast-paced environment while managing competing priorities.EDUCATION
Associate's Degree or Bachelor's Degree required. Paralegal certificate from an ABA-approved program preferred.EXPERIENCE
Five (5) to ten (10) years of paralegal experience in a corporate legal department or law firm. Healthcare, health plan, managed care, insurance, Medicare Advantage, Medicaid, or other government-sponsored health plan experience strongly preferred. Experience supporting attorneys on corporate governance, healthcare regulatory compliance, entity management, and healthcare contracting matters preferred. Experience supporting corporate governance activities, including board and committee meetings, preparation of meeting minutes, resolutions, annual filings, and maintenance of corporate records. Experience reviewing, tracking, and managing contracts through all stages of the contract lifecycle. Experience interacting with state insurance departments, CMS-related matters, health plan licensure, regulatory filings, audits, examinations, or other health plan regulatory activities is highly desirable. Experience supporting legal entity management across multiple states preferred. Experience with contract lifecycle management (CLM) systems and AI-assisted contract review tools preferred. Knowledge of provider, vendor, and delegated entity contracting preferred. Corporate secretary or governance-related experience within a healthcare, insurance, or health plan organization preferred.LICENSE/CERTIFICATION
