Direct Counsel represents an AmLaw 100 firm seeking a Venture Capital & Emerging Companies Associate (3–5 years of experience) to join its dynamic and rapidly growing New York office.

This is an outstanding opportunity for a transactional attorney who thrives in the startup ecosystem and enjoys partnering with founders, venture capital funds, private equity investors, and high-growth companies from formation through exit. You'll work on cutting-edge transactions involving emerging technologies, venture financings, M&A, and strategic corporate matters while collaborating with an interdisciplinary team of industry-leading attorneys and business advisors.

What You'll Do

• Lead venture capital financing transactions from term sheet through closing.
• Advise startups and emerging growth companies on corporate governance and day-to-day legal matters.
• Represent venture capital and private equity funds in investments and portfolio company matters.
• Handle mergers, acquisitions, strategic transactions, and general corporate work.
• Draft and negotiate financing documents, including SAFEs, convertible notes, preferred equity financings, and NVCA documentation.
• Manage due diligence, closings, and client relationships across sophisticated transactions.

Qualifications

• 3–5 years of venture capital and emerging companies experience at a law firm.
• Strong background in venture financings, M&A, and corporate governance.
• Experience managing transactions from inception through closing.
• Familiarity with startup financing documents, including SAFEs, convertible notes, priced equity rounds, NVCA documents, SAFTs, and token offerings .
• Experience with Carta , cap table management, and financial modeling is a plus.
• Excellent drafting, negotiation, and client relationship skills.
• Active membership in the New York Bar .

Compensation & Benefits

• Base Salary: $260,000–$365,000 , depending on experience.
