Counsel

Position Summary The Counsel position will serve as a key member in supporting the organization’s legal needs by managing the contracts team and other legal‑related processes and assisting the General Counsel in providing legal advice. Responsibilities Support the General Counsel in advising on a variety of legal and contractual matters. Oversee and coordinate the work of paralegals, including preparation of client engagement letters, master service agreements, RFP responses, subcontractor agreements, Kovel agreements, NDAs, conflict waivers, and other vendor/client agreements. Manage subpoena compliance and other court‑related matters, strategy, and case‑management system accuracy. Review leases for the organization’s premises nationwide and oversee related work performed by staff or outside counsel. Manage the organization’s intellectual property. Effectively manage outside counsel’s use of time and resources for outsourced legal matters. Perform other duties and responsibilities as assigned. Qualifications Juris Doctor degree with three to seven years of relevant experience as a practicing attorney at a law firm or as an in‑house corporate attorney. Member in good standing with the bar in one U.S. state or territory. Litigation experience required; preferred professional liability or accountants liability experience. Demonstrated experience drafting, reviewing, negotiating, and advising on a variety of contracts. Strong ability to understand and advise clients on nuanced legal issues, identify risks, and weigh potential outcomes. Detail‑oriented with excellent organizational skills and the ability to prioritize competing deadlines. Excellent written and verbal communication and interpersonal skills. Ability to work independently with initiative and as a team member. Willingness to work occasional nights or weekends as client needs dictate. Benefits Increased number of paid holidays per year.
