Senior Director of Tax

The Senior Director, Tax is responsible for leading all partnership tax-related activities for the organization, with a primary focus on partnership allocations, LLC agreement (LLCA) waterfall calculations, partner reporting, income tax compliance, and tax distribution management. This role serves as a key liaison between the company, its partners, executive leadership, and external tax advisors to ensure accurate tax reporting, compliance with federal and state regulations, and timely communication of tax-related information to stakeholders.

The Senior Director, Tax will oversee the preparation, review, and analysis of partnership income tax calculations, Schedule K-1s, Schedule K-3s, federal and state partnership tax returns, and tax distributions. The position requires deep technical expertise in partnership taxation, strong analytical capabilities, and the ability to manage complex partner relationships while leading tax compliance processes.

Key Responsibilities
  • Lead the preparation, review, and analysis of LLC Agreement (LLCA) waterfall calculations and allocation methodologies.
  • Calculate and communicate the financial and tax effects of waterfall distributions and allocations to partners.
  • Ensure partnership allocations comply with governing agreements, tax regulations, and applicable accounting standards.
  • Review capital account maintenance, partner ownership changes, contributions, distributions, and special allocations.
  • Collaborate with legal, finance, and external advisors on partnership structuring, amendments, and transactions.
Partner Relations & Stakeholder Management
  • Serve as the primary tax contact for partners regarding tax allocations, distributions, K-1 reporting, and tax-related inquiries.
  • Develop and maintain strong relationships with partners, investors, and external tax advisors.
  • Communicate complex tax matters in a clear and concise manner to both technical and non-technical stakeholders.
  • Support investor relations and finance teams with tax-related analyses and reporting requests.
Tax Compliance & Reporting
  • Oversee the preparation and review of federal, state, and local partnership income tax returns.
  • Review partnership taxable income calculations and related tax adjustments.
  • Direct the preparation and review of Schedule K-1s, Schedule K-3s, and other partner reporting requirements.
  • Manage the annual tax compliance calendar and ensure timely filing of all tax returns and related disclosures.
  • Coordinate and review work performed by external tax service providers.
Tax Distributions & Payments
  • Calculate partner tax distributions in accordance with partnership agreements and governing documents.
  • Prepare and review tax distribution models and supporting analyses.
  • Initiate and oversee estimated tax payments, extension payments, and related tax remittances.
  • Coordinate the issuance and mailing of tax distribution notices and payment documentation to owners and partners.
  • Monitor tax payment deadlines and ensure timely compliance with all federal and state requirements.
Data Gathering, Analysis & Planning
  • Lead tax data collection processes across accounting, finance, treasury, and operations functions.
  • Analyze complex financial information to determine tax impacts and reporting requirements.
  • Develop models and analyses supporting tax planning initiatives, partnership transactions, and strategic business decisions.
  • Identify opportunities to improve tax reporting processes, data quality, and operational efficiency.
  • Support mergers, acquisitions, restructurings, and other strategic transactions from a partnership tax perspective.
Leadership & Controls
  • Lead, mentor, and develop internal tax professionals and external service providers.
  • Establish and maintain effective tax controls, policies, and procedures.
  • Ensure compliance with internal control frameworks and governance requirements.
  • Drive continuous improvement initiatives to enhance efficiency, accuracy, and scalability of tax processes.
  • Provide periodic updates and presentations to executive leadership regarding tax matters, compliance status, and key risks.
Qualifications
Education
  • Bachelor's degree in Accounting, Finance, Taxation, or related field required.
  • Master's degree in Taxation (MST) preferred.
  • CPA required.
Experience
  • 12+ years of progressive tax experience, including significant partnership taxation experience.
  • Experience with complex partnership structures, private equity, real estate, investment management, energy, or other partnership-intensive industries preferred.
  • Extensive experience preparing and reviewing partnership tax returns, Schedule K-1s, and Schedule K-3s.
  • Demonstrated experience with partnership allocation methodologies, capital account maintenance, and LLC agreement waterfall calculations.
  • Experience managing external tax advisors and cross-functional stakeholder relationships.
  • Prior leadership experience managing tax teams and complex tax compliance functions.
Technical Skills
  • Deep knowledge of Subchapter K partnership taxation and federal/state partnership tax compliance.
  • Strong understanding of partnership agreements, allocation provisions, and tax distribution mechanisms.
  • Advanced financial modeling and analytical skills.
  • Proficiency with tax compliance software and Microsoft Excel.
  • Experience working with large datasets and complex tax reporting requirements.
