AJ Chambers are delighted to be working with a well established commercial law firm seeking an experienced Intellectual Property Attorney / IP Counsel / Trademark Attorney to join its New York practice at Of Counsel level.

This is a strong opportunity for a 10+ year IP attorney with substantial experience across both intellectual property litigation and transactional IP work, particularly trademark litigation combined with IP support for M&A and complex corporate transactions.

The successful candidate will be comfortable moving between IP disputes, trademark litigation, IP due diligence, transactional drafting, licensing and technology agreements, providing sophisticated advice across a broad range of intellectual property matters.

This is a hybrid role, with a minimum of 3 days per week in the New York office.

About the Role

The attorney will work across IP litigation, transactional IP, intellectual property counseling and trademark matters, with significant autonomy and direct client exposure.

• Patent and patent related litigation
• Trade secret litigation
• Intellectual property counseling
• IP due diligence for M&A transactions
• Intellectual property aspects of acquisitions and corporate transactions
• Drafting and negotiating IP provisions in acquisition agreements
• Licensing agreements
• Technology agreements
• Commercial agreements involving intellectual property
• Trademark prosecution and portfolio counseling
• Advising clients on broader IP risks and commercial issues

This is deliberately not a pure litigation or pure transactional position. The ideal candidate will be able to move comfortably between contentious and transactional IP matters and advise clients on complex, cross disciplinary intellectual property issues.

Responsibilities

• Handle trademark litigation and intellectual property disputes
• Advise clients on trademark, copyright, patent and trade secret matters
• Support patent and trade secret litigation as appropriate
• Act as the IP specialist on M&A and other complex corporate transactions
• Conduct intellectual property due diligence
• Identify and assess IP risks in acquisitions and other transactions
• Draft and negotiate IP provisions in purchase and acquisition agreements
• Draft, review and negotiate licensing agreements
• Advise on technology and commercial agreements
• Provide intellectual property counseling to corporate and commercial clients
• Advise on trademark portfolios and related IP matters
• Work directly with clients and other legal teams on cross disciplinary matters
• Exercise independent judgment and manage matters from inception through resolution or closing

Must Have

• 10+ years of law firm intellectual property experience
• Active New York Bar admission
• Substantial trademark litigation experience
• Meaningful experience handling both IP litigation and transactional IP matters
• Experience providing IP support on M&A / mergers and acquisitions
• Experience conducting IP due diligence
• Experience drafting and negotiating IP provisions in acquisition or purchase agreements
• Experience with licensing and technology agreements
• Strong understanding of intellectual property law across multiple IP rights
• Strong drafting, negotiation, analytical and client-management skills
• Ability to work independently across contentious and transactional matters

• $280,000-$320,000 base salary, depending on experience and qualifications
