Vice President - Investment Counsel

We're partnering with a leading global financial institution to identify an experienced attorney to join its Investment Management Legal team as a Vice President. This is an exciting opportunity to support a growing private markets platform with exposure across both Private Credit and Leveraged Loans , working alongside investment professionals on sophisticated financing and investment transactions.

This role is ideal for an attorney looking to transition from private practice or continue building an in-house legal career while remaining deeply involved in complex, high-value transactions.

Key Responsibilities

• Draft, review, negotiate, and redline a wide range of investment and financing agreements, including credit agreements, collateral documents, participation agreements, NDAs, side letters, subscription documents, and other transaction-related documentation.
• Provide legal advice throughout the lifecycle of private credit and leveraged loan transactions.
• Partner closely with investment professionals, portfolio managers, and senior business stakeholders to structure and execute transactions.
• Analyze legal, regulatory, and commercial risks while providing practical business-oriented solutions.
• Assist with transaction structuring, new product development, and strategic legal initiatives.
• Review marketing materials, internal policies, and legal documentation supporting the investment management business.
• Interpret and advise on U.S. and international regulatory developments impacting private credit, leveraged lending, and asset management activities.
• Work collaboratively with Legal, Compliance, Risk, Operations, and external counsel on complex matters.

Qualifications

• Juris Doctor (J.D.) and admission to practice law.
• Approximately 5+ years of relevant legal experience at a leading law firm, investment manager, private credit platform, or financial institution.
• Experience supporting Private Credit, Leveraged Finance, Leveraged Loans, Direct Lending, Structured Credit, or Investment Management transactions.
• Strong drafting and negotiation skills across complex financing and investment-related agreements.
• Knowledge of applicable securities and investment management regulations, including the Investment Advisers Act, Investment Company Act, Securities Act, and Securities Exchange Act.
• Excellent analytical, communication, and relationship management skills.
• Ability to independently manage multiple transactions in a fast-paced, collaborative environment.
