Position Overview Partner with Kirkland & Ellis LLP, San Francisco, CA. Work within the M&A/Private Equity practice group to lead the representation and counsel of corporate and private equity clients in complex corporate transactions. Responsibilities Support deal execution by drafting, reviewing, and negotiating key transaction documents, stock and asset purchase agreements, merger agreements, Letters of Intent (LOIs), term sheets, and disclosure schedules. Coordinate due diligence reviews and prepare diligence reports. Advise on U.S. and international M&A transactions in energy, infrastructure, and heavy industries sectors. Manage closing checklists and handle deal closings. Perform due diligence activities, including reviewing target company contracts, corporate documents, litigation, IP, compliance issues, and identifying and advising on legal risks to clients. Communicate with private equity sponsors, strategic buyers, portfolio companies, and management teams to coordinate corporate transactions. Advise clients on deal structures, risk allocation, and negotiation strategies. Support M&A transactions by coordinating with internal teams (including tax, antitrust, finance, employment) across multiple jurisdictions. Qualifications Juris Doctor (J.D.) or Master of Laws (LL.M.) degree, or foreign equivalent. Admission to the California state bar. Five (5) years of experience as an Associate or related position with a law firm focusing on M&A transactions.
