Senior Associate Attorney - Investment Management & Private Funds

Mazoogi is recruiting a senior associate for a highly ranked, AmLaw 100 global law firm. The firm is building out its investment management practice around a recently hired shareholder who co-chairs the group. This is a rare chance to be the lead associate on a small, high-visibility team with direct access to group leadership, and the position is fully remote (NY Hours).

The opportunity

• Fully remote. You can work from anywhere in the U.S., with no office attendance required. Must be admitted to practice law in NY.
• Direct, day-to-day work with the group's co-chair, with no layers of partners in between.
• A ground-floor role in growing the practice, with real input into how the team develops.

• Market compensation. $380,000-$490,000+ with flexibility for the right fit. Plus, discretionary bonus.

What you'll do

• Lead private fund formation from start to finish, including private placement memoranda (PPMs), LPAs, subscription documents, and side letters.
• Structure and negotiate joint ventures, co-investment vehicles, and fund-level transactions.
• Advise registered investment advisers, fund sponsors, and broker-dealers on the Investment Company Act of 1940, the Investment Advisers Act, and related SEC compliance.
• Guide clients through SEC and FINRA examinations, inquiries, and regulatory filings, including Form ADV.
• Serve as a primary client contact and supervise and mentor junior associates.

Requirements

• 8+ years of direct investment management and private funds experience.
• Training at a top-tier AmLaw firm or a nationally recognized funds practice is required.
• Deep, hands-on expertise in the 40 Act and Advisers Act.
• A proven track record drafting PPMs and structuring private funds and JVs.
• Active admission to the New York Bar (required).
• The judgment and independence to manage matters in a remote team. xhyhwjd
